Artykuł dotyczy przedterminowego zakończenia kadencji ciała przedstawicielskiego przez głowę państwa. Kompetencja ta posiada charakter sankcji w przypadku niewłaściwego działania parlamentu. Występuje w formie obligatoryjnej i fakultatywnej. Akt Prezydenta nie wymaga kontrasygnaty. Zasadniczą różnicą w Polsce i w Czechach jest skutek zastosowania instytucji. W Polsce nie jest on automatyczny, okres działania parlamentu rozciąga się w czasie do dnia poprzedzającego dzień zebrania się Sejmu następnej kadencji. W Czechach zaś mamy do czynienia z natychmiastowym zakończeniem działalności Izby Poselskiej. Inaczej niż w Polsce upływ kadencji Izby nie wpływa na czas trwania pełnomocnictw Senatu. W odniesieniu do skrócenia kadencji mocą ustawy konstytucyjnej, trzeba podkreślić wątpliwości co do możliwości jej uchwalenia w Polsce. Powodem jest oczywiście uregulowanie tej instytucji w ustawie zasadniczej w sposób, jak się wydaje, zupełny oraz brak samodzielnej ustawy konstytucyjnej w katalogu źródeł prawa. Dodatkowym argumentem może być także uznanie takiej ustawy za niezgodną z Konstytucją przez czeski Sąd Konstytucyjny.

This paper concerns early termination of representative body’s term of office executed by the head of the state. The competence has a character of sanction that occurs in case of improper parliamentary performance. It takes on an obligatory or optional form. The act of the President does not require countersignature. The major difference between Poland and the Czech Republic consists in the effect of the institution application. It is not automatic in Poland – the period of parliamentary operation is extended in time and expires the day before the Sejm of the new term gathers. Whereas in the Czech Republic we deal with immediate termination of the lower house activity. Unlike in Poland, the end of the lower house term of office does not affect duration of the Senat plenipotentiary pow- ers. Concerning the termination of term of office under the constitutional act, it needs to be emphasized that there are doubts regarding possibility of its passing in Poland. The reasons for that include regulation of the institution expressed in the constitution in the apparently complete way and the lack of separate consti- tutional act in the catalogue of the law sources. The Czech Constitutional Court recognizes such an act as being in contradiction with the Czech constitution, which may be additional argument in the discourse.
W pracy analizie poddany został temat dotyczący udzielania pełnomocnictw, a także czynności „prawnych dokonywanych przez organy osób prawnych”. Zagadnienie to w ostatnim czasie jest szeroko omawiane przez szerokie gremium fachowców jak również zainteresowanych osób nie będących ekspertami. Poruszony został temat reprezentacji jednoosobowej oraz łącznej. Stwierdzono, że reprezentacja łączna jest bezpieczniejszą formą występowania zarówno dla samego reprezentanta/pełnomocnika, jak i dla jednostki organizacyjnej.

In this study, the subject of granting power of attorney as well as ‘legal actions carried out by the bodies of legal persons’ were subject to analysis. This issue has recently been widely discussed by a large number of professionals as well as those interested who are not experts on the subject. the topic of one-man and joint representation was discussed. It was found that combined representation is a safer form of occurrence for both the representative/attorney and the organizational unit
This article introduces the specific principles of granting a power of attorney and representing the consortium members jointly competing for a public procurement – according to the article 23(2) of the Public Procurement Law (PPL), economic operators jointly competing for the public procurement appoint an attorney-in-fact to represent them in the public procurement award procedure or to represent them in the procedure and conclude an agreement on public procurement. Under the art. 14 PPL the relevant provisions of the Civil Code (CC) are applicable in this regard. The most important of these principles may be summarized as follows: 1) a power of attorney should be granted in a standard written form (but it has not to be in a separate document or a joint document signed by all consortium members); 2) it should be of at least generic nature and at least an authorization, granted by all entities in a consortium, for an attorney-in-fact to perform on their behalf actions in the public procurement award procedure and – possibly – to sign an agreement on public procurement, must arise from it; 3) several attorneys-in-fact of the same scope of the received authorization may be appointed; 4) pursuant to art. 26(3) both, a defect in the form of lack of earlier appointment of an attorney-in-fact, as well as performing this action improperly may be retrospectively validate; 5) despite the undeniable order arising from art. 23(2) PPL, one should opt for the possibility that the consortium members may compete for a public procurement awarding despite failure to provide contracting authority a power of attorney document granted to one of them or a third party, and even without granting of such power of attorney; 6) it is possible to change an attorney-in-fact during the procedure; 7) the separate issue is the representation of consortium members during the procedure to which the provisions of the Civil Procedure Code (CPC) shall apply; economic operators’ attorney-in-fact appointed pursuant to art. 23(2) PPL may be an attorney-in-law of the entities forming the consortium only if it meets the requirements set out in art. 87 CPC and this is separately for each consortium member.
Artykuł dotyczy problematyki zawierania małżeństwa przez pełnomocnika oraz małżeństw mieszanych wyznaniowo. Jest to próba odpowiedzi na pytanie, czy prawo Kościoła łacińskiego dopuszcza możliwość zawarcia związku małżeńskiego przez pełnomocnika w sytuacji, jeśli małżeństwo w takiej formie zamierza zawrzeć strona katolicka i strona niekatolicka. W tym celu została przeprowadzona analiza prawa wewnętrznego Kościoła łacińskiego i Kościołów, które należą do Polskiej Rady Ekumenicznej. W wyniku przeprowadzonych badań ustalono, że małżeństwo mieszane wyznaniowo przez pełnomocnika będzie mogła zawrzeć strona katolicka (łacińska) jedynie z wiernymi Kościoła Ewangelicko-Augsburskiego w Rzeczypospolitej Polskiej, wiernymi Kościoła Ewangelicko-Reformowanego w Rzeczypospolitej Polskiej oraz wiernymi Kościoła Ewangelicko-Metodystycznego w Rzeczypospolitej Polskiej.
The aim of the article is to study the basic terminology and phraseology referring to the institution of the power of attorney. The article gives outline information about the legal institution of power of attorney in Polish and Italian legal systems, as well as definitions of some related concepts, which can constitute a basis for a methodological frame of reference and a repertory of practical guidelines and suggestions regarding the process of translation. Due to the changeability of the term in question and its polysemous character, an attempt has been made to show the basic terminology present in both languages: Polish and Italian and their equivalents. Detailed information concerning the power of attorney in the form of notary deed in the Italian legal order have been compared with the requirements as to construction of the notary deedenvisaged in the Polish act on notaryship. The article presents the results of the analysis carried out on ten selected documents of the power of attorney in Italian, which led to the making of a Polish-Italian glossary of the terminology in question. Presentation and explanation of the importance of linguistic and dogmatic meaning of selected Italian phrases and rules referring to the documents of the power of attorney has been accompanied by reflection on translator training practice.

Celem artykułu jest przedstawienie podstawowej terminologii i frazeologii dotyczącej instytucji pełnomocnictwa na potrzeby przekładu w polsko-włoskiej parze językowej. Artykuł zapoznaje czytelnika z ogólną charakterystyką instytucji prawnej pełnomocnictwa w polskim i włoskim systemie prawnym, w tym z kwestiami definicyjnymi, które mogą stanowić bazę do wypracowania pewnych ram metodologicznych i zasobu praktycznych wytycznych w zakresie ukierunkowania przekładu dokumentu pełnomocnictwa. Z racji zmienności i polisemicznego charakteru terminu „pełnomocnictwo” podjęto próbę zestawienia podstawowych terminów funkcjonujących w obu językach. Szczegółowe informacje odnoszące się do dokumentu pełnomocnictwa sporządzanego w formie aktu notarialnego przewidziane na gruncie włoskiej ustawy o notariacie skonfrontowane zostały z ustawowymi wymogami dotyczącymi struktury pełnomocnictwa sporządzanego w kwalifikowanej formie aktu notarialnego na gruncie prawa polskiego. W artykule prezentowane są wyniki analiz terminologicznych, opracowanych na podstawie wybranych przykładowych dokumentów pełnomocnictw w języku włoskim, które pozwoliły na stworzenie glosariusza włosko-polskiego. Prezentacji i omówieniu przykładów charakterystycznych terminów oraz zwrotów stosowanych we włoskich pełnomocnictwach towarzyszy refleksja dotycząca dydaktyki przekładu włosko-polskiego.
The purpose of this paper is to analyze and compare authentic texts of Indonesian powers of attorney to sell real estate with its polish translation. The analysis starts with the definition of parallel texts and explanation of the research method. The author has chosen six most interesting clause, the ones that are potentially problematic and feature issues related to the differences in the legal systems or languages of both countries. The ending conclusion is that differences between the morphology and grammar of Polish and Indonesian as well as differences between the legal systems may be the source of translation problems. The subject of Polish-Indonesian comparative legilinguistics is vast and should be further researched into.

Autorka prezentuje najciekawsze zagadnienia tłumaczenia polsko-indonezyjskiego na podstawie wybranych klauzul z w/w dokumentu takie jak: nagłówek, komparycja, oznaczenie pełnomocnika oraz inne, które następnie poddaje analizie gramatyczno-terminologicznej, odwołując się w razie potrzeby do rzeczywistości prawnej Republiki Indonezji i Rzeczpospolitej Polskiej. Analiza poprzedzona jest wprowadzeniem zawierającym definicje prawne dotyczące tematu pełnomocnictw. Podsumowując każdą część analizy, autorka wyciąga wnioski o charakterze translacyjnym i proponuje inne możliwe tłumaczenia. Artykuł zawiera podsumowanie mówiące, że źródłami występujących problemów translacyjnych w przekładzie tekstów prawniczych z języka polskiego na język indonezyjski są w równym stopniu różnice typologiczne pomiędzy językami fleksyjnym (język polski) i aglutynacyjnym (język indonezyjski), różnice pomiędzy systemami prawnymi obu krajów oraz różnice kulturowe. Przekład z zakresu prawa w parze językowej indonezyjsko-polskiej jest dziedziną rozległą i wymaga dalszych badań.
Odpowiedzialność brokera może wynikać zarówno z faktu zawarcia umowy brokerskiej, ale jej podstawę może także stanowić przekroczenie upoważnienia wynikającego z udzielonego brokerowi pełnomocnictwa. Szczególna pozycja brokera, który występuje w imieniu podmiotu poszukującego ochrony ubezpieczeniowej, ale wynagrodzenie w postaci kurtażu uzyskuje od ubezpieczyciela powoduje, że broker może ponosić odpowiedzialność zarówno wobec swojego kontrahenta, jak i wobec ubezpieczyciela. Niezależnie od tego, w ostatnim czasie, coraz częściej pojawia się kwestia odpowiedzialności brokera wobec innych pośredników ubezpieczeniowych. Przedmiotem rozważań zawartych w artykule jest wskazanie podstaw oraz zasad odpowiedzialności brokera, z szczególnym wskazaniem przesłanek jego odpowiedzialności z tytułu niewykonania lub nienależytego wykonania zobowiązania. Autorka przedstawia obowiązki ustawowe oraz umowne, których naruszenie może prowadzić do powstania jego odpowiedzialności kontraktowej. Wskazuje na ogólne zasady odnoszące się do pełnomocnictwa brokerskiego, możliwość jego odwołania oraz skutki udzielenia wielu pełnomocnictw. Przedstawia przykłady uszczerbków, jakie mogą powstać po stronie podmiotu poszukującego ochrony ubezpieczeniowej oraz rozważane w orzecznictwie sądowym problemy związane z określeniem związku przyczynowego pomiędzy zawinionym działaniem lub zaniechaniem a szkodą kontrahenta.

The broker's liability may arise from the fact of conclusion of the contract, but can also be based on exceeding the power of attorney granted to the broker. The specific position of the broker, who acts on behalf of the entity seeking insurance protection, but is remunerated in the form of brokerage fee obtained from the insurer, makes the broker liable both to the contractor and the insurer. Additionally, the issue of brokers' liability towards other insurance intermediaries has been raised more and more frequently in recent times. The aim of the present article is to consider and indicate the grounds and principles of broker's liability, with special attention to the prerequisites for liability for the non-fulfillment or improper fulfillment of the obligation. The author presents the statutory as well as contractual obligations, the breach of which may lead to the occurrence of broker's contractual liability. Besides, she points out the general principles relating to the broker's power of attorney, the possibility of its revoking and the effects of multiple proxies. Furthermore, the author presents the examples of injuries that may occur on the side of the entity seeking insurance protection as well as problems related to the causality between the wrongful act or omission and the contractor's loss, considered in judicature.
Artykuł ten dotyczy szczególnych zasad dotyczących reprezentacji konsorcjum w toku realizacji zamówienia publicznego w sytuacji, gdy w umowie w sprawie zamówienia zostanie zawarty wymóg ustanowienia przez uczestników konsorcjum pełnomocnika upoważnionego do ich reprezentacji wobec zamawiającego, a ponadto dane tego pełnomocnika zostaną wskazane w tej umowie. W szczególności opracowanie to koncentruje się na zagadnieniu możliwości dokonywania zmian w zakresie tak ustalonej reprezentacji już na etapie wykonywania umowy. Analiza tej problematyki prowadzi do wniosku, że zmiana w zakresie podmiotu ustanowionego pełnomocnikiem konsorcjum nie stanowi istotnej zmiany postanowień zawartej umowy w stosunku do treści oferty, w związku z czym przeszkody do jej przeprowadzenia nie stanowi treść przepisu art. 144 ust. 1 Prawa zamówień publicznych (p.z.p.). Można ją zatem zawsze przeprowadzić na mocy zgodnego porozumienia stron. Należy również uznać, że możliwe jest jednostronne odwołanie takiego pełnomocnictwa z ważnych powodów, uzasadnionych zasługującym na ochronę interesem reprezentowanego czy też związanych z treścią stosunku prawnego, będącego podstawą pełnomocnictwa, nawet w sytuacji braku zgody na taką zmianę ze strony zamawiającego. W braku takich ważnych powodów należy jednak stwierdzić, że zasada pacta sunt servanda ma znaczenie decydujące i skoro wykonawcy zgodzili się na zawarcie w umowie z zamawiającym postanowienia dotyczącego wyznaczenia danego pełnomocnika, który w określonym zakresie ma ich reprezentować, to postanowienie to jest dla nich wiążące. Nie mogą zatem doprowadzić do jego zmiany bez zgody zamawiającego.

This article concerns the special principles regarding the representation of the consortium during the implementation of the public procurement when an agreement on public procurement contains the requirement for consortium members to appoint an attorney-in-fact authorized to represent them to the contracting authority, and moreover data of this attorney-in-fact are specified in this agreement. This study focuses, in particular, on the issue of the possibility of making changes in the scope of representation determined in such way at the stage of execution of the agreement. The analysis of the issue leads to the conclusion that a change of the entity appointed by the consortium as the attorney-in-fact does not constitute a significant amendment of the provisions of the concluded agreement in relation to the content of the tender, and therefore the content of art. 144(1) of the Public Procurement Law (PPL) is not an obstacle to execute the change. Therefore, it always may be carried out under mutual agreement of the parties. It may be recognized it is possible to unilaterally revoke such power of attorney for important reasons, justified with protection deserving interest of the represented person or related to the content of the legal relationship being the basis of power of attorney, even in the event of an absence of consent to such change from contracting authority. In the absence of important reasons it should however be stated, that the pacta sunt servanda principle holds a decisive value and if the economic operators agreed to conclude with the contracting authority the contract which contains provisions concerning the appointment of a given attorney-in-fact, who is going to represent them within the specified range, then this provision binds them. Thus, they cannot bring about the change without the consent of contracting authority.
Commercial representation is a power of attorney granted mainly in commercial companies, that is entities which run business activities subject to entry in the commercial register. It is a type of power of attorney, connected inseparably with business activities. It should be stressed, however, that commercial representation may also be used by physical persons who are entrepreneurs. At the same time, the institution of commercial representation has special characteristics. It may be used only by registered entrepreneurs, it grants powers to perform activities related to running the enterprise, and the scope of powers is determined by law. Commercial representation contains the power to act in the external relations of the entrepreneur in matters related to running the enterprise. All this confirms that commercial representation is an institution combining characteristics of a power of attorney with some additional elements which make it a special type of power of attorney, wider than the general power of attorney.

Wprowadzenie do Kodeksu cywilnego przepisów dotyczących prokury było dopełnieniem reformy Kodeksu handlowego, w którym prokura była uregulowana pierwotnie. Sama koncepcja konstrukcji nie uległa jednak zmianie. Prokura jest pełnomocnictwem ze szczególnymi cechami. Od „zwykłego” pełnomocnictwa odróżnia ją ustawowo określony zakres umocowania (ograniczenie przedmiotowe) oraz szczególna kwalifikacja podmiotów uprawnionych do jej udzielenia (ściśle określony zakres podmiotowy). Zakres prokury jest znacznie szerszy od zakresu pełnomocnictwa ogólnego, które obejmuje czynności zwykłego zarządu. Prokura dotyczy jednak wyłącznie czynności związanych z prowadzeniem przedsiębiorstwa przedsiębiorcy. Nie jest dopuszczalne rozszerzenie zakresu prokury, bowiem określa go ustawa. Możliwe jest natomiast udzielenie prokurentowi pełnomocnictwa szczególnego do dokonania poszczególnych czynności. Wszystkie te cechy umożliwiają prokurentowi reprezentowanie przedsiębiorcy w stosunkach zewnętrznych, co na pewno ułatwia i usprawnia obrót gospodarczy.
Administrative and civil law actions preceding a religious marriage with civil legal effects seem to be regulated in great detail by the valid legislation and analysed quite well in the doctrine. However, a more thorough analysis shows that regarding a concordat marriage per procura, significant questions may arise concerning the parties participating in the proceedings, i.e. the obligations of the future spouses, a proxy, the registrar and the priest. There are also some questions regarding the jurisdiction of the court which conducts the proceedings for granting permission to marry by proxy.This article attempts to address these issues by analysing the valid regulations of the Polish Family and Guardianship Code, Code of Civil Proceedings, Civil Registry Records Act and the internal laws of the Catholic Church.

Gdy w grę wchodzi zawarcie małżeństwa konkordatowego per procura, czynności administracyjne i cywilnoprawne poprzedzające zawarcie małżeństwa w formie wyznaniowej ze skutkami cywilnymi w prawie polskim ujawniają istotne wątpliwości. Dotyczą one wszystkich podmiotów uczestniczących w tym postępowaniu, to jest obowiązków nupturientów, pełnomocnika, kierownika USC, a także duchownego. Wątpliwości istnieją także co do zakresu kognicji sądu prowadzącego postępowanie w przedmiocie udzielenia zgody na zawarcie małżeństwa przez pełnomocnika.Artykuł poprzez analizę obowiązujących uregulowań polskiego kodeksu prawa rodzinnego, kodeksu postępowania cywilnego, ustawy Prawo o aktach stanu cywilnego oraz prawa wewnętrznego Kościoła katolickiego zawiera próbę odpowiedzi na te pytania.
Discrepancies in the jurisprudence of the Supreme Administrative Court and Voivodship Administrative Courts concerning the issue of the effectiveness of suspension of the limitation period for a tax liability in a case in which the taxpayer is represented by an attorney, led to a panel of seven judges of the Supreme Administrative Court adopting a resolution in the case no act I FPS 3/18. This resolution was a foregone conclusion on the role of the representative appointed by the party in the proceedings before the tax authority, stating that the omission of the representative in the proceedings has the same effects as the omission of the party, hence the delivery of the notice to the party about the suspension of the limitation period for the tax liability without taking into account the representative is ineffective. The position of the Supreme Administrative Court leads to the implementation of the principle of active participation of a party in tax proceedings, expressed in the right to appoint a representative in all activities of the proceedings that do not require their personal participation, including, of course, receiving notices sent to a party pursuant to Art. 70c the Tax Ordinance even if the notification is made by the tax authority, before which no proceedings with the participation of the party’s representative are pending. In addition, the legal issue presented for resolution as relating to the issue of the limitation period is extremely important for the actions taken by tax authorities. It also plays an invaluable role for the jurisprudence of administrative courts and, above all, for strengthening the taxpayer’s ability to effectively invoke the statute of limitations on tax liabilities.

Rozbieżności w orzecznictwie Naczelnego Sądu Administracyjnego i wojewódzkich sądów administracyjnych wokół zagadnienia skuteczności zawieszenia biegu terminu przedawnienia zobowiązania podatkowego w sprawie, w której podatnik jest reprezentowany przez pełnomocnika, doprowadziły do podjęcia przez skład siedmiu sędziów Naczelnego Sądu Administracyjnego uchwały w sprawie o sygn. akt I FPS 3/18. W uchwale tej przesądzono o roli pełnomocnika ustanowionego przez stronę w postępowaniu przed organem podatkowym, stwierdzając, że pominięcie pełnomocnika w czynnościach postępowania wywołuje takie same skutki jak pominięcie strony, stąd doręczenie stronie zawiadomienia o zawieszeniu biegu terminu przedawnienia zobowiązania podatkowego bez uwzględnienia pełnomocnika jest bezskuteczne. Stanowisko Naczelnego Sądu Administracyjnego prowadzi do urzeczywistnienia zasady czynnego udziału strony w postępowaniu podatkowym wyrażającej się w uprawnieniu do ustanowienia pełnomocnika we wszystkich czynnościach postępowania, które nie wymagają jej osobistego udziału, w tym do odbierania zawiadomień wystosowanych do strony w trybie art. 70c o.p., i to nawet wówczas, jeżeli zawiadomienia tego dokonuje organ podatkowy, przed którym nie toczy się żadne postępowanie z udziałem pełnomocnika strony. Poza tym przedstawione do rozstrzygnięcia zagadnienie prawne jako odnoszące się do problematyki terminu przedawnienia ma niezwykle istotne znaczenie dla działań podejmowanych przez organy podatkowe. Nieocenioną rolę odgrywa również dla praktyki orzeczniczej sądów administracyjnych, a przede wszystkim dla umocnienia zagwarantowanych podatnikowi możliwości skutecznego powołania się na przedawnienie zobowiązania podatkowego.
This study aims to address the question of impact of the loss of full legal capacity by a natural person on their ability to act as a commercial attorney and the legal consequences of the same. In particular, the analysis covers the decision on incapacitation of a commercial attorney as well as the consequences of the appointment of an interim advisor in court proceedings. In addition, the author looks at the consequences of acts in law by an attorney whose authorisation has expired due to the loss of their full legal capacity as well as discussing the above against the background of the so-called content of the legal relationship which is regarded as a causa of granted powers of attorney.

Celem niniejszego opracowania jest przedstawienie zagadnienia wpływu utraty przez osobę fizyczną pełnej zdolności do czynności prawnych na byt prokury oraz jurydycznych konsekwencji powyższego. W szczególności przeanalizowana zostanie sytuacja wydania postanowienia o ubezwłasnowolnieniu prokurenta, jak również konsekwencje procesowej decyzji o ustanowieniu doradcy tymczasowego. Ponadto artykuł porusza zagadnienie skutków dalszego działania prokurenta, którego umocowanie wygasło z uwagi na utratę pełnej zdolności do czynności prawnych, jak również odnosi powyższe do zagadnienia tzw. stosunku podstawowego będącego swoistą causą udzielonej prokury.
The subject of the gloss is Supreme Court’s Resolution of 13 May 2015 (III CZP 19/15). According to the resolution: “a legal representative of a minor may grant a power of attorney to submit a declaration of consent provided for in art. 34.3 of Medical Professions Act of 5 December 1996 (consolidated text: Dz. U. of 2015 item 464)”. The Supreme Court declared absolutely inadmissible power of attorney to carry out parental authority. The Author is of the opinion that the presented resolution is to be approved. The Author analyses several specific issues, which were omitted by the Supreme Court, like requirements to be met by attorney or qualification of the power of attorney to important matters. According to the author power of attorney to submit a declaration of consent should be applied in completely exceptional situations, under taking into account objections arising from civil and medical law.

Przedmiotem glosy jest uchwała Sądu Najwyższego z 13 maja 2015 r. (III CZP 19/15), w której Sąd Najwyższy stwierdził, że „przedstawiciel ustawowy małoletniego dziecka może udzielić pełnomocnictwa do złożenia oświadczenia o wyrażeniu zgody przewidzianej w art. 34 ust. 3 ustawy z dnia 5 grudnia 1996 r. o zawodach lekarza i lekarza dentysty (jedn. tekst: Dz. U. z 2015 r. poz. 464)”. Sąd Najwyższy za bezwzględnie niedopuszczalne uznał udzielenie przez rodziców pełnomocnictwa ogólnego do wykonywania wszystkich czynności z zakresu władzy rodzicielskiej. Autorka, aprobując co do zasady zajęte przez Sąd Najwyższy stanowisko, analizuje związane z nim szczegółowe zagadnienia, pominięte przez Sąd Najwyższy, skupiając się na wymogach, jakie powinna spełniać osoba pełniąca funkcję pełnomocnika, a także na kwalifikacji udzielenia analizowanego pełnomocnictwa jako istotnej sprawy dziecka. Zdaniem autorki udzielenie pełnomocnictwa do wyrażenia zgody powinno być stosowane w sytuacjach zupełnie wyjątkowych, przy uwzględnieniu zastrzeżeń, wynikających z prawa cywilnego i medycznego.
The purpose of this article is to analyze the status of the parties to mediation in individual cases in the field of labor law, which are entitled to appoint a representative. In the publication, I will present considerations regarding the status of a representative in terms of who can perform this function, as well as how the legal norms in force in mediation in individual cases in the field of labor law affect the role of the attorney appointed by the parties to the mediation, i.e. by the employee and the employer.

Celem niniejszego artykułu jest przeprowadzenie analizy statusu stron mediacji w indywidualnych sprawach z zakresu prawa pracy, które są uprawnione do ustanowienia pełnomocnika. Rozważania dotyczą statusu osoby pełnomocnika – kto może pełnić tę funkcję i w jaki sposób normy prawne obowiązujące w mediacji w indywidualnych sprawach z zakresu prawa pracy wpływają na rolę pełnomocnika ustanowionego przez strony mediacji, czyli przez pracownika i pracodawcę.
Możliwość zawarcia małżeństwa przez pełnomocnika jest instytucją sięgającą prawa rzymskiego, kanonizowaną na gruncie prawa kościelnego. Jako pierwszy o takiej możliwości w prawie kanonicznym wspominał Gracjan. Szczegółowo tę kwestię uregulował dopiero KPK/17 w kan. 1089-1091. Ustawodawca w KPK/83 w kan. 1105 potwierdza wcześniejsze regulacje. Określa zadania pełnomocnika i mocodawcy oraz cechy pełnomocnictwa, które jest wyjątkową formą zawarcia małżeństwa. Taką samą możliwość daje polskie prawo cywilne, stawiając jednak pełnomocnictwu nieco inne wymagania. KKKW pozostawia tę kwestię do rozstrzygnięcia poszczególnym Kościołom sui iuris.

Contracting marriage through the proxy is an institution dating back to the Roman law and canonized under Church law. Gratian was the first to mention about it, but the matter was not regulated in detail before the 1917 Code of Canon Law in can. 1089-1091. The 1983 Code of Canon Law, in can. 1105 confirms the previous regulations, specifies the duties of proxy and the one mandating and also requirements of the mandate. Both Codes still treat it as an extraordinary form of contracting the marriage. The same possibility is offered by Polish civil law, however with different requirements for the mandate. The Code of Canons of the Eastern Churches leaves the question to be resolved by particular sui iuris Churches.
W Kościele katolickim zgoda małżeńska będąc aktem woli, przez który mężczyzna i kobieta w nieodwołalnym przymierzu wzajemnie się sobie oddają i przyjmują w celu stworzenia małżeństwa dla swej ważności musi być wyrażona w formie kanonicznej i w sposób prawidłowy. Zgoda ta jest wyrażana przez nupturientów w tym samym czasie i miejscu i co do zasady wyrażana jest przez osoby zawierające związek małżeński osobiście. Jak pokazuje jednak historia, ceremonii zawierania małżeństwa nieomal „od zawsze” towarzyszy instytucja pełnomocnika. Zawieranie małżeństwa pomiędzy nieobecnymi (inter absentes), tj. pomiędzy nupturientami, którzy z jakichś względów nie mogli osobiście uczestniczyć w ceremonii zaślubin, ma wielowiekową tradycję, choć w różnych społeczeństwach i religiach formuła ta spotykała się z różnym przyjęciem i na przestrzeni dziejów podlegała rozmaitym modyfikacjom. W Kościele łacińskim matrimonium per procura skodyfikowane zostało w Kodeksie Prawa Kanonicznego z 1917 r., a następnie w Kodeksie Prawa Kanonicznego z 1983 r.

Being an act of will through which a man and a woman offer themselves to each other and accept each other to make an irrevocable union, the marriage consent in the Catholic Church has to be expressed in a canonical form and in a proper manner. Such a consent is expressed by both nupturients at the same time and place and – in principle – expressed personally by the two people entering the matrimony. However, as history shows, marriage vows have been made by proxy “since forever”. Contracting a marriage between two absent people (inter absentes), i.e. between prospective spouses who – for some reason – could not take part in the ceremony in person – has a long tradition, although its reception has varied from one society and religion to another and has undergone various modifications over time. In the Catholic Church, matrimonium per procura was codified by the 1917 Code of Canon Law and then in the 1983 Code of Canon Law.
Celem artykułu jest ocena angielskich ekwiwalentów polskich terminów „pełnomocnictwo rodzajowe” i „pełnomocnictwo szczególne” proponowanych w czterech najbardziej popularnych specjalistycznych słownikach dwujęzycznych. Badane ekwiwalenty to między innymi „special proxy”, „special authority” i „special power”. W celu dokładnej oceny proponowanych ekwiwalentów w artykule zostały przedstawione definicje polskich terminów oraz definicje ich ekwiwalentów występujących w angielskich słownikach prawa. Ponadto sprawdzono, czy proponowane ekwiwalenty występują w dokumentach źródeł prawa brytyjskiego. W artykule zostały również określone techniki przekładowe zastosowane podczas formułowania omawianych ekwiwalentów.

This paper constitutes an attempt to assess English equivalents of the Polish terms “pełnomocnictwo rodzajowe” and “pełnomocnictwo szczególne” suggested in four most popular bilingual specialist dictionaries. The English equivalents discussed include: “special proxy”, “special authority” and “special power”. In order to conduct a thorough assessment of the suggested equivalents, the definitions of the Polish terms and their English equivalents presented in English monolingual legal dictionaries have been analysed. Moreover, the study aims to verify whether or not the suggested equivalents occur in the texts of the British sources of law. Finally, translation techniques applied while forming English equivalents under discussion are identified.
Celem niniejszego artykułu jest przedstawienie zawodu adwokata w kontekście idei towarzyszących ustanowieniu tej profesji oraz jej praktycznego zastosowania. Zarysowując dzieje adwokatury, autor stara się przybliżyć zadania i obowiązki jakim musi sprostać adwokat reprezentując klienta w postępowaniu sądowym. Duży nacisk położony zostaje na wymogi etyczno- -moralne towarzyszące kontaktom z klientem. Autor stanowczo sprzeciwia się pojawiającym się w świadomości społecznej negatywnym wyobrażeniom o członkach palestry.

The aim of this article is to present the profession of advocate in relation to the underlying rationale of this profession and its actual performance. Outlining the history of the legal profession, author discusses the tasks and responsibilities which the advocate has to face while representing his client in court. Strong emphasis has been placed on the professional ethics requirements connected with the relationship between the advocate and his client. In conclusion author does not accept with negative image of advocates in society.
The solutions concerning the Central Register and Information on Economic Activity (CEIDG) regulated in the Act of 6 March 2018 on the Central Register and Information on Economic Activity and the Information Point for Entrepreneurs are analysed. The starting point of the analysis are the assumptions set out in the rationale for the draft act. Next, the changes introduced by the new act in terms of these assumptions, in particular with regard to the ordering of regulations, the division of data contained in CEIDG, their exchange and facilitations for entrepreneurs are assessed. The authoress also analyses the activities that are not subject to entry in the CEIDG (not registered) introduced by the provisions of the Act of 6 March 2018: Law on Entrepreneurs.

Autorka poddaje analizie rozwiązania dotyczące Centralnej Ewidencji i Informacji o Działalności Gospodarczej (CEIDG) uregulowane w ustawie z 6 marca 2018 r. o Centralnej Ewidencji i Informacji o Działalności Gospodarczej i Punkcie Informacji dla Przedsiębiorcy. Za punkt wyjścia przyjmuje założenia określone w uzasadnieniu projektu ustawy i ocenia zmiany, jakie wprowadza nowa ustawa pod kątem tych założeń, w szczególności w zakresie uporządkowania przepisów, podziału danych zawartych w CEIDG, ich wymiany oraz ułatwień dla przedsiębiorców. Autorka analizuj także tzw. działalność niepodlegającą wpisowi do CEIDG (tzw. nieewidencjonowaną) wprowadzoną przepisami ustawy z 6 marca 2018 r. Prawo przedsiębiorców.
This paper presents normative solutions concerning the issuing procedure, the content and the significance of the certificate of no impediments to marriage in the context of regulations related to marriage by proxy (matrimonium per procura). The principal aim and the research problem posed in the article pertain to the question of the specific circumstances this document concerns. Do the control mechanisms accompanying the issuing of this certificate cover the requirements specified in Art. 6.1 of the Family and Guardianship Code, and do they recognize the specificity of marriage contracted by proxy? What is the actual meaning of the phrase used in Art. 8.1 of the Family and Guardianship Code, stating that a priest “cannot accept the declarations referred to in Art. 2.1 [of the Family and Guardianship Code]” without having been presented with the said certificate, and does the prohibition set forth in this regulation prove that the certificate of no impediments to marriage is the essential factor? The paper puts forward the hypothesis that while the idea itself is undoubtedly justified, the adjustment of the regulations of the Family and Guardianship Code and the Registry Office Records Act to ensure compliance with the Concordat has gone too far in the matter under discussion. It has resulted in the introduction of restrictions establishing a clear primacy of formalism over the favor matrimonii principle and has given rise to different assessments of the nature of the said certificate, including opinions claiming the constitutive nature of this document. For persons intending to enter into marriage in the religious form with civil effects, the requirement to present a legally valid certificate has become a condition basically parallel to other, constitutive conditions to marriage, while this restriction is not of general nature. It does not apply to couples intending to contract marriage before the head of a registry office or a consul (Art. 1.1 and Art. 1.4 of the Family and Guardianship Code), and refers only to those who intend to enter into marriage in the religious form with civil effects. The existing state of affairs can hardly be regarded as appropriate. Another deficiency of the current regulations also arises from the fact that the certificate of no impediments to marriage, although it has gained disproportionate importance, does not “recognize” the specificity of religious marriages with civil effects contracted per procura, and in this case does not duly fulfil its guaranteeing functions.

Artykuł prezentuje rozwiązania normatywne dotyczące procedury wystawiania, treści i znaczenia zaświadczenia o braku okoliczności wyłączających zawarcie małżeństwa, w kontekście regulacji związanych z zawieraniem małżeństwa przez pełnomocnika (matrimonium per procura). Zasadniczy cel i problem badawczy zawarty w publikacji oscyluje wokół odpowiedzi na pytanie, o braku jakich konkretnie okoliczności, dokument ten informuje; czy mechanizmy kontrolne towarzyszące wystawieniu tego zaświadczenia obejmują wymogi określone w art. 6 § 1 k.r.o. i czy dostrzegają specyfikę małżeństwa zawieranego przez pełnomocnika? Co konkretnie oznacza użyte w art. 8 § 1 k.r.o. sformułowanie, iż duchowny „nie może przyjąć oświadczeń przewidzianych w art. 1 § 2 [k.r.o.]” bez uprzedniego przedstawienia mu omawianego zaświadczenia i czy wskazany w tym przepisie zakaz dowodzi, że zaświadczenie o braku okoliczności wyłączających zawarcie małżeństwa ma charakter konstytutywny? Artykuł stawia tezę, że o ile sama idea wystawiania omawianego zaświadczenia jest bez wątpienia słuszna, o tyle dostosowywanie przepisów k.r.o. i p.a.s.c. do Konkordatu poszło w omawianej materii za daleko. Skutkowało ono wprowadzeniem takich obostrzeń, które statuują wyraźny prymat formalizmu nad zasadą favor matrimonii i dają asumpt do zróżnicowanej oceny charakteru tego zaświadczenia, w tym do formułowania tez o konstytutywnym charakterze tego dokumentu. Dla osób zamierzających zawrzeć małżeństwo w formie wyznaniowej ze skutkami cywilnymi wymóg legitymowania się zaświadczeniem mającym moc prawną stał się przesłanką w zasadzie analogiczną do tej, jaką mają inne, konstytutywne przesłanki małżeństwa, przy czym obostrzenie to nie ma charakteru powszechnego. Nie dotyczy ono nupturientów zamierzających zawrzeć małżeństwo przed kierownikiem USC lub konsulem (art. 1 §§ 1 i 4 k.r.o) a odnosi się tylko do tych, którzy zamierzają zawrzeć małżeństwo w formie wyznaniowej ze skutkami cywilnymi. Istniejący stan rzeczy trudno uznać za właściwy. Mankamentem obowiązujących regulacji jest również to, że zaświadczenie o braku okoliczności wykluczających zawarcie małżeństwa, mimo, iż zyskało znaczenie nieproporcjonalne do swej roli, „nie rozpoznaje” specyfiki małżeństw wyznaniowych ze skutkami cywilnymi zawieranymi per procura i w tym przypadku funkcji gwarancyjnych w należytym stopniu nie spełnia.
