Ekspansywna polityka pieniężna może mieć istotny wpływ na poziomy wycen obserwowane na rynkach akcji. Wpływ ten jest bezpośrednio obserwowany poprzez dochodowy model wyceny, który w koszcie kapitału uwzględnia poziom stopy wolnej od ryzyka. Zakres tego wpływu nie jest jednak prosty do jednoznacznego określenia, gdyż płynne instrumenty wolne od ryzyka mają zdecydowanie krótsze okresy zapadalności niż okres przyjmowany w wycenie akcji. W zależności od poziomu stopy wolnej od ryzyka, zakładanego po terminie zapadalności instrumentów wolnych od ryzyka, można uzyskać bardzo rozbieżne poziomy wyceny na rynkach akcji. Dodatkowo, duży wpływ na skuteczność ekspansywnej polityki pieniężnej, z punktu widzenia wycen na rynkach akcji, mogą mieć oczekiwania inwestorów w zakresie przyszłych zmian stóp procentowych w ich horyzoncie inwestycyjnym. Wpływ zmian stopy wolnej od ryzyka na wyceny na rynkach akcji może być ograniczony, jeżeli będzie następował w stopniu proporcjonalnym do oczekiwanej przyszłej stopy zmiany zysków spółek giełdowych.

Jest często większościowym udziałowcem, kluczowym klientem, nadzorcą regulacyjnym, nawet gwarantem jej funkcjonowania poprzez kreowanie monopolistycznej pozycji rynkowej. Ta wyjątkowa pozycja staje się szczególnie trudna w sytuacjach konfliktowych z pozostałymi głównymi interesariuszami – zarządem, związkami zawodowymi oraz z udziałowcem mniejszościowym, gdy jest inwestorem finansowym. Niejednokrotnie dochodzi do sytuacji, w których jeden wspólnik nie potrafi porozumieć się z pozostałymi, paraliżuje rozwój działalności spółki poprzez uporczywe zasypywanie zarządu spółki najróżniejszymi pismami i wnioskami oraz inicjowaniem szeregu bezzasadnych postępowań przy wykorzystaniu wszelkich możliwych organów władzy publicznej, urzędów, instytucji i organów wymiaru sprawiedliwości. The practice of economic turnover provides a lot of examples when the company's proper activity is disturbed by one or more partners. Sometimes, there are situations when one partner, cannot communicate with the rest board and paralyses the company activity through various letters or submissions and start unnecessary legal proceedings by using all available public institutions and organisations of the judicature. In my article, I will try to define the term "important reasons "based on the current position of doctrine and judicature. Furthermore, I will try to determine the boundaries of the above topic. In my publication, I will also consider from what point of view it should judge the validity of the reasons for expulsion the partner from the partnership.
Najnowsza nowelizacja Kodeksu spółek handlowych wzbogaca polskie prawo handlowe o regulację działalności holdingów. Długo wyczekiwane przepisy należy poddać krytycznej ocenie, w której przeprowadzeniu pomocne są zasady austriackiej szkoły ekonomii – nurtu w ekonomii wskazującego na zbędność państwowej ingerencji m.in. w obrót handlowy. Analizując aktualnie obowiązującą ustawę, komentarze oraz literaturę szkoły austriackiej, można zauważyć, że regulacja z Działu IV k.s.h. zawiera wiele niepotrzebnych przepisów, a jednocześnie obejmuje przepisy niepełne. Remedium na zbyt duży interwencjonizm ustawodawcy w ustrój grupy spółek oraz brak precyzji określonych artykułów mogłoby stanowić wprowadzenie obowiązku sporządzenia oraz podjęcia uchwały, np. przez zgromadzenia wspólników spółek wchodzących do holdingu, w której indywidualnie uregulowano by kwestie aktualnie ujęte w Dziale IV – takie rozwiązanie oddawałoby w najpełniejszym stopniu praktyczny i dynamiczny charakter prawa handlowego.

The long-awaited latest amendment to the Code of Commercial Companies that regulates holding law, should be subjected to a critical assessment, in which are helpful the principles of the Austrian school of economics. Analyzing the current act, comments and literature of the Austrian school, it can be seen that the regulation from Section IV of the Code of Commercial Companies contains many unnecessary and too intrusive provisions, at the same time including incomplete provisions. A remedy could be the introduction of an obligation to adopt a resolution by the shareholders’ meeting of companies included in the holding, in which the indicated issues would be individually regulated – such a solution would reflect the practical and dynamic nature of commercial law.
W artykule autorzy podejmują się dokonania analizy zagadnienia dotyczącego możliwości naruszenia umowy spółki lub statutu przez członków zarządu oraz wpływu takiego naruszenia na ważność podjętej czynności prawnej. Zagadnienie to wywołuje liczne problemy praktyczne, chociażby z uwagi na obowiązek każdorazowej weryfikacji przed zawarciem umowy listy czynności, na dokonanie których statut lub umowa spółki zastrzega sobie taki wymóg. Nie ma tu znaczenia dobra czy zła wiara kontrahenta, który ma świadomość o istnieniu takiego zapisu dla ważności danej czynności prawnej. Zgoła odmienna jest sytuacja członka zarządu, dla którego uzyskanie takiej zgody jest ważne, z uwagi na naruszenia umowy spółki albo statutu, a w konsekwencji jego odpowiedzialność odszkodowawczą do dochodzenia ewentualnego odszkodowania za szkodę wyrządzoną działaniem lub zaniechaniem. Pamiętać jednak należy, że do istnienia odpowiedzialności niezbędne jest wykazanie szkody. Jednakże biorąc pod uwagę uwarunkowania biznesowe niekiedy trudno uzyskać zgodę rady nadzorczej lub walnego zgromadzenia wspólników na taką zgodę. Powstaje wtedy pytanie, czy można ją uzyskać następczo. Autorzy w artykule dokonują analizy stawiając tezę, iż możliwe jest następcze wyrażenie zgody na dokonaną bez uprzedniej zgody czynność prawną. Dokonując wnioskowania a maiori ad minus można w ocenie autorów dopuścić potwierdzenie takiej czynności następczo i to nie tylko w wymaganym dwumiesięcznym terminie, ale nawet późniejszym, co może mieć wpływ na ich ewentualne wyłączenie odpowiedzialności z tytułu naruszenia postanowień umowy spółki (statutu). Całość rozważań ściśle oscyluje wokół praktycznych problemów pojawiających się funkcjonowaniu spółki.

In the article the authors try to analyze the issue of the possibility of breaching the articles of association or the statute by the management board members and the impact of such an infringement on the validity of the undertaken legal action. This issue causes many practical problems, even with regard to the obligation to verify a checklist each time before concluding a contract, when the statutes or the articles of association reserve such a requirement. Good or bad faith of the contractor who is aware of the existence of such a provision for the validity of the legal action does not matter. Quite a different situation is with the management board member for whom obtaining such consent is important due to the breach of the articles of association or the statute of the company, and consequently its liability for damages in order to seek compensation for any damage caused by action or omission. It should be remembered that the existence of liability requires proving the damage. However, given the business conditions, sometimes it is difficult to obtain the consent of the supervisory board or the general meeting of shareholders for such an approval. The question then arises whether it can be obtained ex post. The authors of the article have made the analysis and proposed a thesis that it is feasible to obtain follow-up consent for the legal action undertaken without a prior consent. Making a maiori ad minus argumentum, according to the authors such an action can be confirmed subsequently and not only in the required two-month period, but even later, which may affect the possible exclusion of liability for breach of the articles of association (statute). The whole discussion closely oscillates around the practical problems arising from the functioning of the company.
This paper is devoted to the situation of a partner who had contributed to the partnership only his services, however the business did not bring expected profits and the invested capital was lost. As may be inferred from the sources, if the capital was lost during the operations of the partnership, as a rule all the partners were considered liable for the loss in proportion to the value of their contribution. Thus a partner, who contributed to the partnership solely the opera necessary for the realization of the joint undertaking, could be put in an awkward situation, because he would have been expected to participate in such loss in proportion to his share. In particular, the problem affected partnerships in which only one of the partners contributed his services to the partnership by investing the resources provided by other partners. If the partnership sustained a loss, this partner’s liability for the loss of the capital invested would have been on a par with the liability of the remaining socii, and contemporarily he would not have been paid for the services performed. In Author’s opinion, Servius Sulpicius’ suggestion forming the basis for the magna quaestio, to fully or partially exempt partner who contributed opera to a partnership from the participation in the loss of the capital invested, was intended as a remedy to such a situation fully realizing the principle of economic equivalence between the work performed by one partner and the capital invested by the other.

Artykuł poświęcony jest zagadnieniu sytuacji wspólnika wnoszącego do spółki wkład polegający na opera w obliczu utraty majątku wniesionego do spółki przez pozostałych socii. Zagadnienie to w prawie rzymskim miało szczególne znaczenie w odniesieniu do spółek, w których wspólnicy nie tworzyli współwłasności określonego majątku, ale realizowali wspólny cel, oddając do dyspozycji spółki pieniądze, czy inne rzeczy określone gatunkowo lub indywidualnie. Jak wynika z analizowanych tekstów źródłowych, utrata takich wkładów, jeżeli nastąpiła podczas realizacji celu spółki, była uważana za stratę obciążającą wszystkich wspólników w proporcji do posiadanych przez nich udziałów. W takiej sytuacji wspólnik, który partycypował we wspólnym przedsięwzięciu jedynie w formie opera, mógł się znaleźć w niekomfortowej sytuacji, wymagającej od niego wyrównania pozostałym socii części poniesionej straty w kapitale. W szczególności problem ten dotyczył spółek, w których tylko jeden ze wspólników świadczył dla spółki pracę polegającą na inwestowaniu środków pochodzących od innych socii, ponieważ w obliczu utraty środków przeznaczonych na realizację spółki, wspólnik ten był na równi z pozostałymi obciążony taką stratą, nie otrzymując żadnego wynagrodzenia za świadczoną dla spółki pracę. Zdaniem autorki nie można więc wykluczyć, że propozycja Serviusa Sulpiciusa, by możliwe było w umowie spółki zwolnienie wspólnika świadczącego pracę w całości lub części od udziału w stratach, stanowiąca źródło kontrowersji nazywanej w tradycji literackiej magna quaestio, miała stanowić remedium na takie potraktowanie wkładu polegającego na świadczeniu pracy, postulując potraktowanie wnoszonej do spółki opera jako ekwiwalentu ekonomicznego wkładu określanego przez jurystów terminem pecunia.
In recent years we have witnessed an almost unprecedented effort of legislators and legal academics in Europe to make limited liability companies in various jurisdictions more modern, simpler and more accessible. These endeavors are usually related to the liberalization of statutory requirements regarding the minimum share capital amounts. Lively debates among academics and practitioners, as well as regulatory competition, seem to be the factors making the legislative changes dynamic and evolutionary. The issue of limited liability companies’ regulatory reform were also the subject of proposed European legislation, including the now abandoned proposal of a harmonised single-member limited liability company model known as Societas Unius Personae (SUP). In Poland there has also been, for almost a decade, a discussion on whether and how to follow the example of Germany (and its Unternehmergesellschaft) and other European countries and liberalize the capital requirements for the Polish limited liability company. Lately the Polish legislator has introduced the so-called simple joint-stock company (prosta spółka akcyjna), which had been drafted to be an attractive offer for start-ups, aiming, in the perception of its proponents, to achieve the modernization and simplification desired by contemporary legislators and supposedly accomplished in other jurisdictions, all the while maintaining serious levels of creditor protection. The author employs formal-dogmatic and comparative methods to describe the capital structure of the new company type and to confront it with certain other statutory developments, especially the Societas Unius Personae as a serious and well-thought-out, nonetheless failed venture, to try to assess the solutions set forth by the Polish legislator.

Kwestie reformy spółek z ograniczoną odpowiedzialnością były również przedmiotem projektów prawodawstwa europejskiego, w tym projektu dyrektywy w sprawie zharmonizowanego modelu spółki z ograniczoną odpowiedzialnością jednoosobowej znanego jako Societas Unius Personae (SUP). Także w Polsce od prawie dekady toczy się dyskusja w przedmiocie zmian dotyczących spółek z o.o., w szczególności tego, czy polskie ustawodawstwo powinno podążyć za przykładem Niemiec (i znanej z niemieckiego porządku prawnego Unternehmergesellschaft) oraz innych krajów europejskich i zliberalizować wymogi kapitałowe dla tego typu spółek. Sejm przegłosował niedawno ustawę wprowadzającą tak zwaną prostą spółkę akcyjną. Ten nowy typ spółki ma w założeniu stanowić atrakcyjną propozycję dla start-upów, prowadząc — zdaniem jej zwolenników — do modernizacji i uproszczenia pożądanego przez współczesnych prawodawców przy jednoczesnym utrzymaniu stosownego poziomu ochrony wierzycieli. Ustalenie zakresu pojęciowego stosunków cywilnoprawnych spółek kapitałowych wzbudza liczne kontrowersje w doktrynie i praktyce prawa. Dokonanie podziału na wewnętrzne i zewnętrzne stosunki tychże spółek jest niezwykle istotne dla przeprowadzenia kompleksowej kwalifikacji norm prawa spółek, jako imperatywnych bądź dyspozytywnych oraz do określania granic wolności umów w obu tych obszarach. This article includes a preliminary analysis of relation between internal and external civil relations of companies. The controversy over conceptual range of civil relations of companies arouse not only in the doctrine but also in case law. The division of relations of companies into internal and external is crucial in order to provide a detailed classification of legal norms of commercial law as imperative or dispositive, and to determine limits of freedom of contract in both of these areas. External relations concerning a relation of a company with third parties are subject to deeper legislative interference by means of imperative norms. On the other hand, internal relations of a company with members or shareholders are regulated by dispositive norms. It should be stated that internal and external relations of companies are characterized by huge autonomy of will of parties of company relations, which parties have a profound influence on their mutual relations.

Obowiązujące przepisy prawa polskiego oraz Wielkiej Brytanii w odmienny sposób kształtują zakres swobody wyboru nazwy spółki. Celem artykułu jest wykazanie, czy polski ustawodawca daje podmiotom rozpoczynającym działalność gospodarczą w formie spółek prawa handlowego prawo do swobodnego wyboru nazwy spółki, a jeśli tak, to w jakim zakresie w porównaniu z ustawodawcą angielskim oraz czy takie rozwiązanie jest słuszne w świetle praktyki obrotu. W niniejszej pracy posłużono się metodą formalno – dogmatyczną oraz metodą prawnoporównawczą, w wyniku czego analizie poddane zostały przepisy prawa polskiego i angielskiego w zakresie kształtowania swobody tworzenia nazw spółek. Shaping the company's name is one of the elements that entity starting a business in the form of commercial law must specify in the basic act. The existing provisions of the Polish law and the law of the United Kingdom shape of freedom of choice of the company name in a different way. The aim of this article is to show if the Polish legislator gives the parties starting their business in the form of commercial companies the right to freely choose the name of the company, and if so, to what extent, in comparison with the English legislator and whether such a solution is appropriate in light of trading practices. In this paper the formal - dogmatic and com-parative legal methods were used, resulting in the analysis of subjected provisions of Polish and English law in shaping freedom of naming the companies. The author has adopted the research hypothesis that the Polish legislator treated the freedom to create the names of commercial companies in a wider way than the legislator wider in the UK in the Companies Act of 2006. Tertiary education institutions have certain legal instruments which allow students and academic teachers to conduct business activity. At the same time the above mentioned legal solutions can be helpful in developing proper business behaviours. The presentation of these instruments is the main aim of the paper. First of all, it should be remembered that article 86 item 1 of the Higher Education Law Act of 27th of July 2005 allows for conducting academic incubators of entrepreneurship in order to transmit the results of scientific research to economy and with the object of achieving better exploitation of academic intellectual and technical potential. What is more, the Polish legislature included in article 86a item 1 of the same Act grants permission for creating special companies (a stock company or a limited liability company) in order to commercialize the results of scientific analysis as well as developmental work.

The aim of this study is to present chosen issues related to the completion of the liquidation of the limited liability company and its legal succession. In the first place author describes problems connected to the term "completion of liquidation", critically referring to the current state of legislation in that matter. Further the possibility of liquidation's reversal and resumption of normal functioning of the company is discussed, together with possible interpretation problems regarding that. The next presented matters are deletion from the register and issues of company's post- liquidation rights and obligations. At the end, author presents de lege ferenda postulates and summary.

Następnie przedstawiona zostaje możliwość uchy- lenia likwidacji i powrotu do normalnego funkcjonowania spółki wraz z możliwymi problemami interpretacyjnymi na tym gruncie. The aim of this study is to present issues related to the appointment of the liquidators of the limited liability company. At the beginning author presents adopted division of the cases in which liquidators are appointed: first, made by the will of the shareholders and second, by the court. W pierwszej kolejności wskazany jest przyjęty podział przypadków ustanowienia likwidatorów na dwie kategorie - z woli wspólników oraz przez sąd. Następnie omówione zostały aspekty dotyczące ustanawiania likwidatorów z woli wspólników (do której to kategorii zalicza się ustanowienie tzw. „likwidatorów ustawowych”) oraz zagadnienia związane z ustanawianiem likwidatorów przez sąd. Na koniec autor przedstawia możliwe postulaty de lege ferenda oraz podsumowanie.
The article attempts to characterize the most important properties of a Slovak limited liability company, trying to explain its phenomenon, which is the fact that this type of company is most frequently selected by entrepreneurs in Slovakia. The text has been divided into four main parts, which present the individual advantages of the Slovak limited company. The first part of the text presents basic information. The second one presents the most important information on individual bodies of this company. The third part tries to explain briefly the lack of interest in a simple joint-stock company, which, in theory, is supposed to be more accessible to entrepreneurs. The last fourth fragment contains a short summary, presenting in points the most important features of the Slovak limited company, which make it the most attractive for entrepreneurs.

W artykule starano się scharakteryzować najważniejsze właściwości słowackiej spółki z ograniczoną odpowiedzialnością, próbując tym samym wytłumaczyć jej fenomen, polegający na tym, że ten rodzaj spółki jest najczęściej wybieranym przez przedsiębiorców na Słowacji. Tekst został podzielony na cztery zasadnicze części, w których przedstawiono przede wszystkim poszczególne zalety słowackiej spółki z ograniczoną odpowiedzialnością. W pierwszej części tekstu podano podstawowe informacje. W kolejnej zaprezentowano najważniejsze informacje dotyczące poszczególnych organów tej spółki. W części trzeciej podjęto próbę krótkiego wyjaśnienia braku zainteresowania prostą spółką akcyjną, która niejako miała być dużo bardziej przystępna dla przedsiębiorców. Z kolei w ostatnim, czwartym fragmencie zawarto podsumowanie, przedstawiające w punktach najważniejsze cechy słowackiej spółki z ograniczoną odpowiedzialnością, które czynią ją najbardziej atrakcyjną dla przedsiębiorców.
Autor w artykule analizuje następujące zagadnienia: 1) organ jako element konstrukcji osoby prawnej; 2) umowa jako wyłączne źródło stosunku organizacyjnego; 3) charakterystyka umów rodzących stosunki organizacyjne oraz 4) ustanie stosunków organizacyjnych. Mandat i kadencja, zawarte w treści umów organizacyjnych, są pojęciami uniwersalnymi, które mogą zostać wyprowadzone z art. 369 kodeksu spółek handlowych. Nie oznacza to jednak możliwości stosowania nawet odpowiednio pozostałych przepisów kodeksu spółek handlowych do innych, niż spółki, typów osób prawnych.

The Author in the article analyzes the following issues: 1) organ as part of the structure of a legal entity; 2) contract as the source of organizational relation; 3) characteristic of the contracts resulting in organizational relations and 4) cessation of the organizational relations. The mandate and the term of office, situated in the content of organizational contracts, are universal definitions, which can be derived from Article 369 of the Code of Commercial Companies. However, it does not mean the possibility to use, even adequately, other provisions of the Code of Commercial Companies concerning other than companies, types of legal entities.
This article is devoted to the issue of the admissibility of distinguishing negative resolutions and non-existent resolutions adopted by bodies in capital companies. The current legal provisions do not contain explicit regulations that allow or prohibit the existence of these legal structures. However, the fact whether it is possible to separate them is not only doctrinal, but also above all practical. This work considers the legal nature of the resolution as a legal act and also presents the most important problems regarding the admissibility of negative and non-existent resolutions. The aim of the article is to assess the admissibility of these structures on the basis of regulations and general principles of company law. The arguments adopted both by the representatives of the commercial law doctrine, as well as the analysis of the thesis from the case-law, which have the most significant impact on the solution to the problem, were presented. Critical analysis of the concept of non-applicable regulations and non-compliant with the rules of economic turnover were also made.
Prince Andrzej Lubomirski, the second entailer of Przeworsk, was not only a literary supervisor of the National Ossoliński Institute in Lviv but also an entrepreneur and founder of one of the first sugar factories in Galicia. In the interwar period he struggled with a lot of problems related to the economic situation in the newly independent Poland. Through abusing his plenipotentiary powers, Prince Andrzej’s son, Jerzy Rafał Lubomirski, put the Przeworsk Entail as well as the “Przeworsk” Małopolska Sugar Company in considerable debt. His fault was also the loss of the controlling interest in the sugar company in favour of the Sugar Bank in Poznań. The Przeworsk entailer had also come into conflict with his brother due to financial issues. However, despite those problems, Prince Andrzej Lubomirski was still actively engaged in the matters of industry and it was thanks to him that the “Przeworsk” sugar factory was modernized and the “Horodenka” sugar factory built. The outbreak of World War II thwarted his plans to repay the debts and pursue further initiatives.
Common lands (commons) are the relics of transformations that occurred in Poland during the 19th century as feudalism drew to an end, nevertheless some commons can be traced back more than 600 years. The essence of common land is the right of the residents of a given village to participate in the common land through the use of land constituting common land in accordance with its intended purpose. The only requirement of such participation is to possess a farm or a domicile, as defined in the statue. The management and administration of commons is regulated by the Common Lands Act (“Act”) dating back to 1963. The statue does not give a definition of common land, but enumerates conditions that agricultural, forest and water areas shall fulfil in order to be considered as the common land. The Act contains mechanisms intended to determine a legal or natural persons’ right to use a particular common, as well as its shares in particular common land. It also contains regulations relating to the development of commons, having to be made by the special partnerships, gathering all participants of the common land. Since the Common Lands Act was implemented, the political, social and economic situation in Poland has radically changed. Today, the Act is inadequate to properly address the current and future use of the commons. Thus, the legislator has made an attempt to change such a situation. The result of the actions taken is a bill to amend the Common Lands Act, developed on the basis of assumptions for the above-mentioned bill, adopted by the Council of Ministers on November 6, 2012. Once enacted, the proposed amendments are intended to implement a new set of rules to determine the legal status of the commons, as well as to determine legal title to such common lands. This article examines the legal situation of common lands on the eve of the Common Lands Act amendment as well as basically analyses the suggested changes in this legislation.
