El can. 1095 del Código actual contempla las enfermedades mentales y los trastor nos psiquicos, regula los casos en los que esos supuestos de hecho, tan variados, constituyen una incapacidad para expresar el consentimiento valido, que es la causa, en el Derecho actual, de la nulidad del matrimonio. E nel Código anterior, sin embargo, no habia ninguna regulación, consagrada directam ente y ùnicam ente a los casos de incapacidad “psiquica”, provocada por enferm edades y trastornos mentales. Habian, es verdad, canones, que tocaban el tema de la capacidad mental de expresar el consentimiento. Sin embargo, el can. 1095 es novedoso en su modo de tratar el tema, es decir de intentar de abarcar en el texto de un solo canon toda la variedad de casos de incapacidad de contraer el matrimonio provocada, entre otras, por enferm edades о trastornos m entales; el canon que contem platres tipos juridicos a través de los cuales esa incapacidad se manifiesta en form as especificas о causas de nulidad autônomas; el canon, que ubica todas las cuestiones relacionadas con el tema en el Capitulo IV titulado ’’Del consentimiento matrimonial”.En los tiempos del Código de 1917 los canonistas intentaban resolver las causas de incapacidad de contraer el matrimonio provocada por enferm edades mentales sin poder acudir a este tipo de regulación juridica. En esta época, precisamente en los ańos cincuenta y sesenta, apareciô sin embargo un factor nuevo, que provocô un crecimiento del interés por las enferm edades y trastornos mencionados. El factor fue un desarrollo râpido de psicologia y psiquiatria.En consecuencia, el conocimiento mejor de los trastornos mencionados permitiô ver desde otra perspectiva los problem as provocados por estos trastornos, entre otros los problem as de la vida matrimonial. Con el paso del tiempo los tribunales eclesiâsticos empezaron a alegar los nuevos logros de sicologia y psiquiatria como también utilizar mâs frecuentemente los términos provenientes de estas ramas de la medicina moderna.En nuestro estudio vamos a detenernos en una etapa concreta de la historia de la reflexion juridica sobre la capacidad humana de contraer el vinculo matrimonial valido, en el caso de trastorno metal ocurrido. Al concretizar todavia mâs, vamos a estudiar los textos de John R. Keating, un autor de lengua inglesa, quien fue uno de los primeros, en ocuparse del tema de la influenda de dichos trastornos en la validez dei matrimonio. El autor, prâcticamente desconocido fuera de la cultura de habla inglesa, en su tiempo fue uno de los precursores mâs destacados del tema mencionado, preguntando y poniendo de relieve unas ideas nuevas en cuanto a la influencia de los trastor nos mentales en la validez dei matrimonio. Creemos, que por este articulo vamos a despertar de nuevo el interés por la cuestiôn resuelta por ahora por medio de las nuevas regulaciones del Código de 1983.
The aim of paper is discussion on an indirect or direct coercion in the context of a consent of an incapacitated person to a medical procedure, particularly taking into consideration incapacitation in the result of a psy-chical disease, psychical retardation or another type of psychical disorders. This problem is worth considering because of many aspects contained in it. Since treatment takes place not only in hospitals; diagnostics is also carried out in social aid homes and institutions for psychically ill. The constitutional protection of a patient’s right to express his/her agreement or to refuse a consent to acquire definite health services obtains a particular meaning particularly in a situation where the subject authorised to express a con-sent (or refusal) is an incapacitated person/patient. Konstytucyjna ochrona prawa pacjenta do wyrażenia zgody lub jej odmowy na uzyskanie określonych świadczeń zdrowotnych zyskuje szczególne znaczenie w sytuacji, kiedy podmiotem upraw-nionym do wyrażenia zgody (lub jej odmowy) jest osoba/pacjent ubezwłasnowolniona/y. A patient’s autonomy determines the scope and terms of medical intervention in the treatment process. In the context of a doctor-patient relationship, autonomy should be understood as a ban on medical intervention without the consent of the patient. Consent is an act of civil law intended to produce legal effects by means of a declaration of intent. For this legal action to be legally considered valid, it must meet a number of conditions. Obtaining consent from a patient is connected with the informative obligation. A physician should provide a patient or his legal representative not only with accurate and accessible information about treatment methods and their scope and benefits, but also the risk posed by the treatment.

W procesie leczenia autonomia pacjenta wyznacza zakres oraz warunki ingerencji medycznej. W relacjach lekarz – pacjent autonomia powinna być rozumiana, jako zakaz podejmowania terapii bez wyraźnej zgody pacjenta. Zgoda pacjenta jest zdarzeniem cywilnoprawnym zmierzającym do wywołania skutków prawnych na podstawie oświadczenia woli. Aby ta czynność prawna mogła zostać w świetle prawa uznana za ważną, musi spełniać szereg warunków. Z wymogiem uzyskania od pacjenta zgody łączy się obowiązek szeroko ujmowanej informacji. Lekarz powinien udzielić pacjentowi lub jego przedstawicielowi ustawowemu dokładnych, przystępnych objaśnień o metodach leczniczych, zakresie, korzyściach, ale także o ryzyku, jakie niesie ze sobą dany zabieg.
Celem artykułu jest analiza tematu wyrażania zgody przez małoletniego na szczególne świadczenia zdrowotne mające charakter nieleczniczy lub mieszany takie jak eksperyment medyczny, przerywanie ciąży, przeszczepianie komórek, tkanek i narządów, dawstwo krwi. Dodatkowo omówione zostały kwestie związane z antykoncepcją oraz decyzjami wiążącymi na przyszłość dziecka. Metodologia badań opierała się na metodzie doktrynalnej. Badania skupiały się na analizie aktów prawnych oraz literatury przedmiotu. Metody, które zastosowano to analiza ora metoda opisowa. Ogólną zasadą jest, że do ukończenia 16 roku życia przez małoletniego, jego rodzice decydują o udzielaniu mu świadczeń zdrowotnych. W momencie, kiedy dziecko ukończy 16 lat, może współdecydować wraz z rodzicami o leczeniu. Ustawodawca zadecydował o tym aby w odniesieniu do niektórych świadczeń zdrowotnych zastosować odmienne od ogólnych reguły. Najwcześniej, bo od 13 roku życia, małoletni może współdecydować z rodzicami o przeszczepie szpiku, przerywaniu ciąży, a najpóźniej, bo od 17 roku życia o dawstwie krwi. Najbardziej liberalnie została uregulowana kwestia zgody na eksperyment medyczny, ponieważ limit wieku został zastąpiony wymogiem posiadania przez małoletniego wystarczającego rozeznania. W artykule przedstawiono uwagi dotyczące tego czy rozróżnienie świadczeń medycznych ze względu na ich specjalny charakter jest właściwe. The article shows how important and necessary are the principles established by a judgment of one of the Nuremberg Trials. It also shows an emanation of these rules in two areas: in law and in ethics. The text also reveals how close to each other are those areas, when we talk about the medical law. The work focuses on the autonomy of the patient and the prerequisites on which the consent to a medical experiment is valid.

Artykuł przedstawia, jak ważne i potrzebne okazały się zasady sformułowane w jednym z wyroków kończących tzw. procesy norymberskie. Ukazuje też emanację tych zasad w dwóch sferach normatywnych: prawnej oraz etycznej. Tekst ujawnia również, jak bliskie sobie są te sfery w przypadku kwestii regulowanych przez tzw. prawo medyczne. Praca skupia się na autonomii pacjenta/probanta oraz przesłankach stanowiących o ważności zgody na eksperyment medyczny.
The author presents and provides a comment on the final sentence handed down in the third instance (the Roman Rota) in a nullitatis matrimonii case, examined ob simulationem totalem at the complainant’s request (a negative and a positive sentences were handed down in the first and second instance respectively). The key issue in this case was determining whether in the examined case the complainant’s personal goals (fines operantis), namely the desire to improve the economic situation of her and her child, can be combined with the institutional goals of marriage (fines operis). By referring to judicature of the Roman Rota and thoroughly examining the case files, the adjudication panel c. Erlebach ruled that the complainant’s personal goals were consistent with the goals of the institution of marriage and that the woman has not ruled out ipsum matrimonium. Therefore, total simulation of marriage did not happen at the time the marriage was concluded.
W związku z innowacją w czeskim wychowaniu przedszkolnym – umieszczaniem dwuletnich dzieci w przedszkolach – niniejszy artykuł bada: a) jaka jest opinia nauczycielek na temat przyjmowania dwuletnich dzieci oraz b) jak nauczycielki uzasadniają odmowę ich przyjęcia. Założenia były nastę pujące: 1) nauczycielki, które aktualnie nie mają w grupach, w jakich pracują, dwuletnich dzieci, będą rzadziej odmawiać ich przyjęcia; 2) odmowa przyję cia dwuletnich dzieci jest wprost proporcjonalna do rozpiętości wiekowej dzieci w heterogenicznej grupie wiekowej. Założenia potwierdziły się częściowo.

In connection with the innovation in the Czech pre-school educa tion – placing two-year-old children in kindergarten, we identified the following: a) teachers’ attitude to accepting two-year-old children; b) the teachers’ reasons for rejecting two-year-old children. Our assumption was as follows: 1) teach ers who currently do not have two-year-old children in their classes will reject two-year-old children less than others; 2) the rejection of two-year-old children is directly proportional to the heterogeneous class age range. Our assumptions were proven partially.
According to the WHO, health is a state of complete physical, mental and social well-being and not merely the absence of disease or infirmity. Nowadays, provisions of national and international law protects not only physical health but also mental health. Formerly, physicians made decisions for their patients. Now, this paternalistic view has been supplanted by promoting patient autonomy. One of the most important patients’ rights is a right to reasonably informed participation in decisions involving his/her health care. Generally, patient’s consent must be obtained before any examination, treatment or care. There are also a few exceptions when treatment may be able to go ahead without the patient’s consent. Patient suffering from a mental disorder may go into a psychiatric hospital not only voluntarily but also involuntary. In such cases, due to the strong interference in the right to freedom, it is necessary to maintain additional procedures and requirements, which in the broadest possible way, reduce patient’s discomfort and ensure compliance with the powers conferred on him/her.

W świetle holistycznej definicji wprowadzonej przez WHO zdrowie to stan pełnego fizycznego, umysłowego i społecznego dobrostanu, a nie jedynie stan, w którym całkowicie brak jest choroby lub kalectwa. Pod ochroną przewidzianą w aktualnie obowiązujących przepisach prawa krajowego i międzynarodowego pozostaje nie tylko zdrowie fizyczne, ale również zdrowie psychiczne. Osoby cierpiące z powodu zaburzeń psychicznych są tą kategorią pacjentów, która wymaga szczególnej opieki i empatii zarówno ze strony ogółu społeczeństwa, jak i przede wszystkim pracowników służby zdrowia. Niestety, z uwagi na rodzaj dolegliwości, z którymi takie osoby się zmagają, są one bardziej narażone na negatywne konsekwencje, jakie wynikają z dysproporcji w relacjach personel medyczny – pacjent. Także w dziedzinie medycyny, jaką jest psychiatria, od jakiegoś czasu daje się zauważyć odejście od paternalistycznego stosunku wobec pacjenta na rzecz propagowania relacji, w których chory i świadczeniodawca stają się podmiotami równorzędnymi. Niemniej w niektórych przypadkach, z uwagi na dobro pacjenta, możliwe jest ograniczenie jego autonomii decyzyjnej. W opracowaniu dokonano analizy przewidzianych w polskim porządku prawnym wyjątków umożliwiających leczenie psychiatryczne bez zgody pacjenta.
Artykuł obejmuje problematykę sytuacji prawnej dziecka jako pacjenta. Dziecko ze względu na to, że nie ma faktycznych i formalnych możliwości samodzielnego podejmowania decyzji i wyrażania zgody w zakresie dopuszczalności stosowania procedur medycznych, znajduje się w centrum uwagi ustawodawcy. System prawny wypracował instrumenty ochrony zdrowotnego interesu małoletniego i jego dobrostanu w sytuacji, w której rodzice (przedstawiciele ustawowi) zagrażają dobru dziecka. The article covers the legal situation of a child as a patient. Due to the fact that there are no real and formal possibilities of making decisions and expressing consent regarding the admissibility of using medical procedures, the child is in the focus of the legislator. The legal system has developed instruments for protecting the health of the minor’s interests and wellbeing in a situation where parents (legal representatives) threaten the child’s well-being.
The article focuses on the analysis of the parent situation (or statutory representatives) who are under legal requirement to subject their children to preventive vaccination. The main deliberations focus on answering the question of how the parents’ (or statutory representatives’) position should be treated if they, relying on the principle of autonomy and their parental rights, and pointing to their duty to exercise care of a minor and to represent a minor child, fail to take any action intended to implement the obligation imposed by law. Parents refer to the principle of child’s welfare and argue that vaccination constitutes an essential threat to the values they recognise, such as autonomy, freedom to make decisions regarding the actual situation and legal position of a child, or the child’s welfare. The issue of parents’ autonomy and implementation of child’s welfare is raised. Parents often bring up an argument of the harmful effects of vaccination and claim that by refusing to agree to vaccination they exercise the principle of child’s welfare. The legal character of the refusal to consent to child vaccination is also analysed. Here, deliberations are set in the context of imprecisely formulated statutory provisions and their mutual relations, especially in the context of the meeting of acts from two branches of law: administrative and civil, and within the latter family law in particular. An attempt has been made to explain doubts whether despite the mandatory requirement and resulting from it obligation threatened with an administrative fine statutory representatives still have a right to express or not consent for vaccination of their children or to decide about at any stage of the procedure.

Tekst obejmuje analizę sytuacji rodziców (przedstawicieli ustawowych), którzy mają prawny obowiązek poddania dziecka szczepieniom ochronnym. Główny nurt rozważań sprowadza się do udzielenia odpowiedzi na pytanie, jak traktować stanowisko rodziców (przedstawicieli ustawowych), którzy powołując się na zasadę autonomii i uprawnienie wynikające z władzy rodzicielskiej, w szczególności obowiązek pieczy nad osobą małoletniego i jego reprezentację, nie podejmują działań zmierzających do realizacji obowiązku nałożonego przez prawo. Rodzice powołują się w tym zakresie na zasadę dobra dziecka, argumentując, że dokonanie szczepienia istotnie godzi w uznane przez nich wartości, takie jak autonomia, wolność podejmowania decyzji odnośnie do sytuacji faktycznej i prawnej dziecka czy wreszcie jego dobro. Autorka zwraca uwagę na problem autonomii przedstawicieli ustawowych oraz na realizację zasady dobra dziecka. Rodzice często przywołują argument, że szczepionka jest szkodliwa dla dziecka i że „niewyrażenie” przez nich zgody na przeprowadzenie szczepienia jest realizacją zasady dobra dziecka. Przedmiotem analiz jest także ocena charakteru prawnego odmowy poddania szczepieniu dziecka ze strony przedstawiciela ustawowego. Autorka podejmuje rozważania w kontekście nieprecyzyjnych postanowień ustawowych i ich wzajemnej relacji. Ma to znaczenie zwłaszcza w kontekście styku aktów prawnych z dwóch różnych gałęzi prawa: prawa administracyjnego i prawa cywilnego, w szczególności zaś prawa rodzinnego. W artykule podjęta zostaje próba wyjaśnienia wątpliwości sprowadzającej się do tego, czy mimo nałożenia na jednostki obowiązku, którego wykonanie zostało zagrożone karą administracyjną, przedstawicielom ustawowym przysługuje, na zasadach ogólnych, uprawnienie do wyrażenia zgody na szczepienie ich dzieci bądź do decydowania na którymś z etapów tej procedury.
The aim of the contemplation is the issue of trade union activists’ employment protection. Discussing article 32 of the Trade Unions Act, the author focuses on changes introduced in the Act from 5th July 2018. In the article, the author points out the meaning of an employed person, the date by which the trade union must adapt its approach towards matters such as a notice of termination, dissolution of employment or one party changes to provision of employment of trade union’s activists. In the study, the author discusses the legal position of the board members of a trade union at the workplace level an above mentioned in the Act of 2003 about so-called group redundancies. The author indicates the differences between the legal protection of an employed person and a union activist that is employed on other category of employment.

Przedmiotem rozważań są kwestie dotyczące ochrony trwałości zatrudnienia działaczy związków zawodowych. Omawiając art. 32 ustawy o związkach zawodowych, autorka koncentruje się na zmianach wprowadzonych ustawą z dnia 5 lipca 2018 r. W artykule zwraca się uwagę na pojęcie osoby zatrudnionej, terminy, w których związek zawodowy powinien zająć stanowisko w kwestii wypowiedzenia, rozwiązania lub jednostronnej zmiany warunków zatrudnienia działaczy związków zawodowych. W opracowaniu omówiono także sytuację prawną członków zarządu zakładowej i międzyzakładowej organizacji związkowej w ustawie z 2003 r. o tzw. zwolnieniach grupowych. Autorka wskazuje, na ile ochrona działaczy związków zawodowych wykonujących pracę na innej podstawie niż stosunek pracy różni się od ochrony zagwarantowanej pracownikom
For a long time, it has been observed that services available in the virtual world, such as social networks, gaming platforms, music streaming services, have attracted the interest of internet users of different ages. They include children, who require special protection as relates to the processing of their personal data. These issues have been addressed by the EU legislator in Art. 8 of GDPR2. The purpose of this paper is to analyze the solutions adopted in Article 8 GDPR and to assess their application in practice.

Od dłuższego czasu można zauważyć, że dostępne w świecie wirtualnym usługi, takie jak np. portale społecznościowe, platformy z grami, platformy z utworami muzycznymi, zyskały zainteresowanie internautów różnej kategorii wiekowej. Wśród nich są i dzieci, które wymagają szczególnej ochrony w związku z przetwarzaniem ich danych osobowych. Na kwestie te zwrócił uwagę prawodawca unijny w art. 8 RODO. Celem niniejszego opracowania jest analiza rozwiązań przyjętych w art. 8 RODO oraz ocena ich stosowania w praktyce.
The subject of the gloss is Supreme Court’s Resolution of 13 May 2015 (III CZP 19/15). According to the resolution: “a legal representative of a minor may grant a power of attorney to submit a declaration of consent provided for in art. 34.3 of Medical Professions Act of 5 December 1996 (consolidated text: Dz. U. of 2015 item 464)”. The Supreme Court declared absolutely inadmissible power of attorney to carry out parental authority. The Author is of the opinion that the presented resolution is to be approved. The Author analyses several specific issues, which were omitted by the Supreme Court, like requirements to be met by attorney or qualification of the power of attorney to important matters. According to the author power of attorney to submit a declaration of consent should be applied in completely exceptional situations, under taking into account objections arising from civil and medical law.

Przedmiotem glosy jest uchwała Sądu Najwyższego z 13 maja 2015 r. (III CZP 19/15), w której Sąd Najwyższy stwierdził, że „przedstawiciel ustawowy małoletniego dziecka może udzielić pełnomocnictwa do złożenia oświadczenia o wyrażeniu zgody przewidzianej w art. 34 ust. 3 ustawy z dnia 5 grudnia 1996 r. o zawodach lekarza i lekarza dentysty (jedn. tekst: Dz. U. z 2015 r. poz. 464)”. Sąd Najwyższy za bezwzględnie niedopuszczalne uznał udzielenie przez rodziców pełnomocnictwa ogólnego do wykonywania wszystkich czynności z zakresu władzy rodzicielskiej. Autorka, aprobując co do zasady zajęte przez Sąd Najwyższy stanowisko, analizuje związane z nim szczegółowe zagadnienia, pominięte przez Sąd Najwyższy, skupiając się na wymogach, jakie powinna spełniać osoba pełniąca funkcję pełnomocnika, a także na kwalifikacji udzielenia analizowanego pełnomocnictwa jako istotnej sprawy dziecka. Zdaniem autorki udzielenie pełnomocnictwa do wyrażenia zgody powinno być stosowane w sytuacjach zupełnie wyjątkowych, przy uwzględnieniu zastrzeżeń, wynikających z prawa cywilnego i medycznego.
Celem pracy jest przedstawienie najbardziej typowych metod wyrażania modalności deontycznej (tj. nakazu, zakazu i przyzwolenia) w brytyjskich, amerykańskich i polskich umowach. Autorka dokonuje analizy 45 umów sformułowanych w polskim, amerykańskimi brytyjskim języku prawniczym. Zanalizowano następujące umowy: (i) umowy przeniesienia własności, (ii) umowy sprzedaży, (iii) umowy najmu i dzierżawy, (iv) umowy logistyczne (dystrybucji i magazynowania), (v) umowy spółek kapitałowych i osobowych, (vi) umowy świadczenia usług, (vii) umowy o dzieło, umowy zlecenia oraz umowy o pracę. Autorka przedstawia przykłady i dokonuje zestawienia wykładników modalności deontycznej w tabelach. Zebrane przykłady mogą stanowić ekwiwalenty przekładowe zgodnie z zasadą stosowania ekwiwalencji tekstowo-normatywnej (cf. Kierzkowska 2002).

The purpose of this paper is to present most typical methods of expressing deontic modality, namely obligation, prohibition and permission in Polish, American and British contracts. The author has analyzed the corpora of about 45 contracts formulated in British-English, American-English and Polish, namely: (i) deeds of conveyance, (ii) contracts of sale, (iii) contracts of lease, (iv) logistic contracts, (v) deeds of partnership and company-related contracts, (vi) contracts for rendering services and (vii) contracts of employment. After presenting the exponents of deontic modality, the author compiles the results in tables to show potential translative equivalents. The listing of such exponents of modality may serve translation purposes in accordance with textual-normative equivalence (cf. Kierzkowska 2002).
The increasingly widespread use of stem cells within medicine for the treatment of many diseases required that the legal aspects of this issue should be analysed. The normative basis for considerations regarding the above topic is the Act of 1 July 2005 on the procurement, storage and transplant of cells, tissues and organs. In this context it is important to highlight the specific legal regime of stem cell transplantation, the most common source of which is peripheral blood. The above thesis is reflected inter alia in unrestricted living donor circle. Thus, there is no requirement to obtain consent of the regional court for transplantation, when the donor is not a relative (consanguinity) sibling, adoptee or spouse of the recipient. The donors could be also entities under special protection as minors or pregnant women (after fulfiling the additional statutory requirement). The special legal regime is also reflected in one other aspect, i.e. in the procedure to express consent by donor and recipient. The above consent does not need to include determined recipient or an acceptance of the transplant from specified donor, respectively. In light of the foregoing, it should be stressed that the legal regime of an ex vivo transplantation involves fewer stringent and rigorous conditions for its admissibility when the subject of transplantation are peripheral blood stem cells. In this respect the medical determinants related to peripheral blood stem cells as ability to regeneration, a lower level of risk and smaller effects for the donor’s health and life are directly reflected in legal regulations. In the available literature, there is proposed a view that the right to periodic examination should be introduced also for peripheral blood stem cell donors.
The subject of the article is the analysis of the rights of donors donating their biological samples to biobanks in the 21st century. Issues regarding donor rights have been analyzed since the 1980s, however, changing times, creating Big Data databases as well as evolving legal awareness of donors meant that today the role of donors in the biobanking process should be perceived differently. Donors become active subjects of scientific research which is connected with the need to answer questions about the obligations to inform them about the results of scientific research conducted on their samples or incidental findings. Likewise, the combination of data registers and the creation of Big Data basis require the re-thinking of terms such as the protection of personal data of donors or the anonymisation of their data. These issues are imposed by negligence or complete lack of legal regulation of the biobanking, which makes the legal protection of the rights of donors dependent on the will of a particular biobank. All these phenomena result in the necessity of new approaches to the rights of donors and their inclusion in the future legal regulation.

Klasyczna baśń braci Grimm jest opowieścią o zwierzętach; nie o problemach ludzi, ale o zwierzętach samych. Osioł, pies, kot i kogut nie są tu potraktowane jako figury ludzi, ludzkie typy i reprezentacje, lecz jako samodzielne podmioty. Antropomorfizacja zaś nie służy ukazaniu i oświetleniu spraw czysto „ludzkich”, lecz pomaga czytelnikowi i słuchaczowi empatycznie odnieść się do sytuacji braci mniejszych. Muzyka, której uprawiania podejmują się zwierzęta, jest katalizatorem ich wyzwolenia. Stare i przeznaczone na rzeź uciekają nie tylko do Bremy, ale i w przestrzeń ocalającej sztuki. Solidarność i harmonia, zgoda i współpraca – oto co reprezentuje kwartet zwierzęcych, amatorskich muzyków. Uczą one, jak być dobrym dla pragmatycznych i często nieczułych ludzi.
This article is devoted to the analysis of public law aspects of transactions of acquisition of significant stakes in investment funds managers. The article describes the procedure that is being used by the Polish Financial Supervision Authority to determine whether the purchaser of a significant portfolio of shares gives a guarantee of proper, safe and stable operation of investment fund manager, as well as the issue by the Polish Financial Supervision Authority of the decision expressing or not expressing (objection) consent to the acquisition of a significant portfolio of shares of an investment fund manager. Another element of consideration is the presentation of mechanisms to ensure compliance with the obligations related to the acquisition of significant portfolio of shares, as well as the assessment of the institution itself as regards the supervision of the acquisition of significant blocks of shares of investment fund managers.

Niniejszy artykuł został poświęcony analizie publicz- noprawnych aspektów transakcji nabywania znacznych pakietów akcji towarzystw firm inwestycyjnych. W artykule scharakteryzowano procedurę ustalania przez Komisję Nadzoru Finansowego, czy nabywca znacznego pakietu akcji daje rękojmię prawidłowego, bezpiecznego i stabilnego działania towarzystw funduszy inwestycyjnych, jak również kwestię tak wyrażenia, jak i braku wyrażenia (sprzeciwu) przez Komisję Nadzoru Finansowego zgody na nabycie znacznego pakietu akcji towarzystwa funduszy inwestycyjnych. Elementem rozważania jest także przedstawienie mechanizmów zabezpieczających respektowanie obowiązków związanych z nabywaniem znacznych pakietów akcji, jak i ocena samej instytucji nadzoru nad nabywaniem znacznych pakietów akcji towarzystw funduszy inwestycyjnych.
This article is devoted to the legal analysis of transactions involving the acquisition of significant stakes in investment funds managers that are managing the investment funds. The authors focused on the most important issues from the point of view of the practice of conducting such transactions. The article presents, in particular, the specificity of such transactions, the ratio why such transactions are the subject of supervisions conducted by the Polish Financial Supervision Authority, as well as detailed description of the institution of notification of the acquisition of a significant stake in an investment fund managers.

Autorzy skupili się w jego treści wyłącznie na kwestiach najważniejszych z punktu widzenia praktyki prowadzenia takich transakcji. W artykule przedstawili w szczególności specyfikę takich transakcji, ratio poddania ich przebiegu nadzorowi sprawowanemu przez Komisję Nadzoru Finansowego, jak również szczegółowo scharakteryzowali instytucję zawiadomienia o nabyciu znacznego pakietu akcji towarzystwa funduszy inwestycyjnych.
