Niniejszy artykuł przedstawia metody ekonomiczne ustalania podejrzenia istnienia zmowy przetargowej oparte na dwustopniowej procedurze. W pierwszej kolejności przedstawiono podejście strukturalne polegające na identyfikacji rynków, na których wystąpienie zmowy przetargowej jest bardziej prawdopodobne, a zatem powinny być objęte szczególną uwagą. W drugiej kolejności omówiono podejście behawioralne, które polega na zastosowaniu narzędzi ekonomicznych w celu zidentyfikowania podejrzanych zachowań związanych ze zmową przetargową, jej uczestników oraz czasu jej trwania. W ramach tego podejścia omówiono narzędzia służące do identyfikacji podejrzanych zachowań, analizę wariancji cen, metody badania związku pomiędzy kosztami a ofertami przetargowymi oraz metody badania związku pomiędzy ofertami przetargowymi. Wreszcie, omówiono zakres, w jakim metody ekonomiczne mogą zostać zastosowane w praktyce przez urzędy antymonopolowe do wykrywania zmów przetargowych.

The present article discusses the use of tools of economic analysis to detect bid rigging by taking a two-step approach. Firstly, the structural approach to identify markets that are more susceptible to bid rigging is presented. Secondly, the behavioral approach consisting of identifying suspicious behavior in tenders is discussed. Within the latter approach, tools for the identification of suspicious bid rigging patterns, price variance analysis and other tests used to study whether bidding behavior is more consistent with collusion rather than competition are analyzed. Finally, the extent to which tools of economic analysis could be used in practice by competition authorities in detecting bid rigging behavior is commented.
Niniejszy artykuł przedstawia poszczególne etapy oraz metody szacowania strat wynikłych z istnienia zmowy przetargowej. W pierwszej kolejności przedstawiono znaczenie oraz istotę opracowania scenariusza alternatywnego opisującego sytuację, jaka miałaby miejsce, gdyby do zmowy nie doszło. Następnie przedstawiono techniczne oraz praktyczne aspekty stosowania poszczególnych metod szacowania strat. Omówiono metody porównawcze, analizę kosztów oraz metody symulacyjne. Opisowi poszczególnych metod towarzyszą przykłady ich stosowania. Wreszcie pokrótce omówiono względy praktyczne związane z wyborem odpowiedniej metody spośród wachlarza dostępnych metod pod kątem dostępności odpowiednich danych oraz weryfikacji wiarygodności przyjętych założeń.

The article discusses the various stages and methods of estimating damages caused by bid-rigging. Emphasized first is the importance and essence of constructing a counterfactual scenario describing what would have happened in the absence of bid-rigging. Discussed next are the technical and practical aspects of the use of the various damage-estimation methods. They include: comparator-based methods, financial-analysis-based methods, and market-structure-based methods. The description of each method is accompanied by examples of their use. Finally, the article analyses the practical considerations related to the choice of a given method (among the range of various methods available) in the context of the availability of the relevant data and credibility of the underlying assumptions.
Związki pomiędzy prawem konkurencji a prawem zamówień publicznych są wielopłaszczyznowe. Jednym z problemów na styku powyższych regulacji jest kwestia wpływu naruszenia prawa konkurencji na udział w przetargach publicznych. W toku rozwoju prawa i orzecznictwa UE dotyczącego zamówień publicznych widać wyraźną tendencję do coraz szerszego przyjmowania możliwości wykluczenia naruszycieli prawa antymonopolowego z postępowań o udzielenie zamówienia publicznego. W niektórych sytuacjach sankcja wykluczenia z możliwości ubiegania się o zamówienie publiczne może być o wiele poważniejsza niż ewentualne kary administracyjne nakładane przez Prezesa UOKiK czy KE. Kwestia wykluczenia naruszycieli prawa konkurencji rodzi wiele pytań dotyczących m.in. zakresu naruszeń, które mogą być podstawą do wykluczenia, a także tego, kto i na jakim etapie powinien decydować o wykluczeniu itp. Wskazana problematyka jest niezwykle istotna, 18 kwietnia 2016 r. upływa bowiem termin implementacji nowej Dyrektywy 2014/24/UE regulującej prawo zamówień publicznych. W związku z tym ważne jest zrozumienie prawa i orzecznictwa unijnego we wskazanej materii, co też będzie przedmiotem artykułu.

Relations between competition law and public procurement are multi-dimensional – competition law infringements acting as a basis for exclusion from public procurement are one of the key issues here. A tendency is visible alongside legislative and jurisprudential developments in EU law concerning public procurement, to broaden the scope for the exclusion of antitrust infringers from public procurement. In some case, exclusion from public procurement may prove a more severe penalty for economic operators than administrative fines levied by the President of UOKiK or the European Commission. However, such exclusion raises many questions including: what is the scope of the substantial infringements which might lead to exclusion or who and when is able to decide on the matter. Keeping in mind that Directive 2014/24 regarding public procurement must be implemented by 18 April 2016, it is fair to say that this is a very important issue at the moment. Hence, it is essential to fully understand EU directives and jurisprudence regarding that matter as presented in the paper.
In the next years, Member States will be spending funds from the EU’s largest package ever. It comprises money from the multi-annual financial perspective (2021–2027) and the reconstruction plan – designed to mitigate the crisis and provide the basis for developing modern and sustainable Europe. It will be a great challenge to eliminate fraud in the funds spending. However, it seems feasible to reduce fraud because over the last years EU institutions have made fraud combating their priority. The second part of the article related to the protection of EU financial interests focuses on mea sures and good practices examples that may significantly contribute to counteracting corruption, understood in a broad sense. It describes tools that are applied mainly by the institutions responsible for EU funds implementation aimed at identifying fraud, including a mechanism for anonymous reporting on irregularities (in the context of the Whistleblower Directive). The author discusses potential instruments developed in response to the most frequent irregularities areas, i.e. breaches in public procurement, conflicts of interests, or collusive tendering. An innovative instrument, designated for social control of public funds spending – the so called integrity pact – has been dis cussed in more detail. The author also presents IT tools to increase public spending transparency and to identify suspicious transactions.

Druga część artykułu na temat ochrony interesów finansowych UE przed nadużyciami prezentuje działania, których wdrożenie w ramach systemu kontroli zarządczej może wspomagać przeciwdziałanie szeroko rozumianej korupcji. Wskazuje też przykłady praktyk niektórych urzędów. Odnoszą się one do obszarów największego ryzyka i dotyczą zarówno zapobiegania, jak i wykrywania nadużyć finansowych. Artykuł opisuje narzędzia stosowane głównie przez instytucje odpowiedzialne za wdrażanie środków unijnych, w tym mechanizm służący anonimowemu sygnalizowaniu nieprawidłowości (w kontekście dyrektywy poświęconej ochronie sygnalistów). W tej części przedstawiono możliwe do zastosowania rozwiązania, będące odpowiedzią na najczęściej występujące nieprawidłowości, przede wszystkim naruszenia w obszarze zamówień publicznych, konflikt interesów czy zmowy przetargowe. Przybliżono także tzw. pakt uczciwości, innowacyjny instrument kontroli społecznej wydatkowania środków publicznych. Opisano stosowane narzędzia informatyczne zwiększające przejrzystość wydatków publicznych, a także ułatwiające identyfikację podejrzanych transakcji.
Celem artykułu jest porównanie zakresu zastosowania przepisów prawa karnego, prawa ochrony konkurencji oraz prawa zamówień publicznych chroniących zamawiającego przed zmowami przetargowymi. W artykule omówiono rodzaje zmów przetargowych oraz tzw. ustawienia przetargu, wskazano, które z nich mogą podlegać ocenie z punktu widzenia poszczególnych dziedzin prawa, a także przedstawiono możliwe sankcje dla przedsiębiorcy oraz osób fizycznych. Zwrócono również uwagę na aspekty proceduralne, w szczególności w zakresie możliwych do wykorzystania środków dowodowych oraz standardu dowodu opartego na poszlakach. W artykule poruszono również kwestię potencjalnej odpowiedzialności osób zarządzających za zawarcie antykonkurencyjnych porozumień przetargowych oraz oceniono zasadność tego rozwiązania w świetle zasady ne bis in idem.

The purpose of this article is to compare the scope of the application of criminal law, competition law and public procurements law in protecting the procuring party against tender collusions. The article discusses the different types of tender collusions as well as “bid rigging”, it indicates which of them may be examined under the provisions of each legal branch, and presents potential sanctions to business entities and natural persons. Addressed also are procedural aspects of the issue, in particular the type of evidence which can be used and the standard of proof in proceedings based on circumstantial evidence. The article continues on to describe the issue of potential liability for tender collusion of persons holding an executive position and assesses it in the light of the ne bis in idem principle.
Artykuł analizuje decyzje z zakresu tzw. zmów przetargowych wydane przez Prezesa Urzędu Ochrony Konkurencji i Konsumentów. Przeważającą większość tych decyzji charakteryzuje specyficzna praktyka przedsiębiorców polegająca na wycofaniu niższej oferty. Po przeprowadzeniu ekonomicznej analizy wspomnianej praktyki oraz omówieniu koncepcji „jednego organizmu gospodarczego”, autor staje na stanowisku, że w części z omawianych spraw z zakresu „polskich zmów przetargowych” nie doszło do antykonkurencyjnego porozumienia pomiędzy przedsiębiorcami.

The paper discusses the specific, novel form of bid rigging that was the basis for recent bid rigging cases in Poland. The analyzed scheme is conceptually different from canonical bid rigging which is usually meant to over-charge the public purchaser. By contrast, the “Polish bid rigging” scheme involves two entrepreneurs participating in the same tender and one entrepreneur withdrawing his lower bid after he was chosen by the procuring public authority (allowing the latter entrepreneur to win the tender). The author discusses the economic considerations standing behind “the Polish bid rigging strategy” and argues that, in most cases, the Polish scheme constituted a unilateral practice rather than an agreement captured by competition laws.
