W Europie występują różne modele organów statutowych spółek. W nie-których państwach model jednopoziomowy, w innych dwupoziomowy, a w jeszcze innych spółki mogą wybierać pomiędzy dwoma modelami i wdrażać ten, który uznają za odpowiedni dla nich. Celem niniejszego opracowania jest opisanie modeli organów statutowych spółek oraz ich wad i zalet, a także wskazanie rekomendacji dotyczących rozwoju organów statutowych w Polsce. Po analizie różnych rozwiązań i tendencji autor stanął na stanowisku, że najodpowiedniejsze dla polskich spółek byłoby wprowadzenie rozwiązań umożliwiających dokonanie wyboru przez walne zgromadzenia akcjonariuszy poszczególnych spółek pomiędzy modelami jedno- i dwupoziomowym. ład korporacyjny, rada dyrektorów
