W artykule przedstawiono problematykę związaną z nowymi regulacjami UE w zakresie łagodzenia negatywnych skutków kryzysów bankowych. Opracowanie przedstawia wybrane aspekty prawne regulujące wsparcie grupowe oraz analizuje wątpliwości związane z ich stosowaniem. Autorzy przedstawili również sytuację własnościową banków w nowych państwach członkowskich UE. Spojrzenie na regulacje w zakresie wsparcia grupowego przez pryzmat struktury akcjonariatu jest szczególnie istotne w przypadku takich krajów, jak Polska, w których większość aktywów sektora bankowego znajduje się w rękach kapitału zagranicznego. W artykule zwrócono uwagę na konieczność korekty aktualnych propozycji UE tak, aby zapewnić ochronę praw mniejszościowych akcjonariuszy, gdyż na obecnym etapie proponowane instrumenty wydają się nie być spójne zarówno z dobrymi praktykami corporate governance, jak i innymi regulacjami unijnymi dotyczącymi rynków kapitałowych.

The paper presents the problems linked with new EU regulations aimed at curbing adverse conditions in the banking sector. Authors presented the selected legal issues of intra-group financing (or intra-group support) and discuss some doubts that may arise while applying them to local legal regimes. The research also underlines banks' ownership structure in the new EU countries. Analyses of intra group support issues should take into account the ownership structure in the banking sector due to the fact that in such countries as Poland the majority of banks' assets is owned by foreign capital. Combining the actual legal proposals and situation in the banking sector authors take the view that they should protect rights of minority shareholders. The existing proposals seem to be non-compliant both with corporate governance rules and even other EU capital market regulations.
