This article presents the effects of submitting a statement of withdrawal from a share purchase agreement on the rights and obligations of the withdrawing shareholder, particularly voting right, dividend.s right or obligation to make additional payment. The author also analyses whether the ownership of the shares passes back to the previous owner ipso jure, or whether it is necessary to conclude a separate dispositive agreement for that purpose. The paper presents that the effects of such statement on these rights and obligations should be determined firstly based on the contractual arrangement made by the parties to the share purchase agreement. The provisions of the Civil Code and the Commercial Companies Code shall be applied accordingly only in the event of lack or inadequacy of contractual arrangements.
