Opracowanie ma na celu przeprowadzenie badań teoretyczno-empirycznych dotyczących wybranych aspektów relacji zachodzących w kooperacyjnej sieci przedsiębiorstw powiązanych za pośrednictwem zarządów i rad nadzorczych. Zagadnienie to jest znane pod pojęciem interlocking directorates. Badania te były dotychczas prowadzone przede wszystkim z punktu widzenia perspektywy przedsiębiorstwa i korzyści przynoszonych spółkom. W literaturze przedmiotu można wskazać na nieliczne opracowania odnoszące się do pozostałych perspektyw interlocking directorates, takich jak destrukcyjność tych relacji, indywidualna perspektywa osoby zasiadającej w wielu organach zarządczo-kontrolnych czy też tworzące się w wyniku tych powiązań grupy interesów. Przeprowadzone badania empiryczne wykazały, że ankietowani w zdecydowanej większości uznali za istotne zaproponowane cechy przypisane tym perspektywom interlocking directorates.

The main aim of the study is to examine certain aspects of relationships between companies caused by employing members of supervisory boards and boards of directors. This problem is known as interlocking directorates. This phenomenon is usually considered from enterprise perspective and benefits for the company. In the literature, there are few studies that relate to the other perspectives of interlocking directorates, i.e. the destructive nature of these relations, the aspects concerning individual benefits for the members of the interlocking directorates and the perspective of the increased cohesion in the business environment. The researchers shown that most of the respondents considered the proposed features of the perspective of interlocking directorates as significant.

The subject of the study was interlocking directorates in Polish joint stock companies. In order to explore this area a monitoring system has been developed which consists of a database and query system. Data is automatically introduced from printed announcements into the MySQL database using PHP scripts.The phenomenon of interlocking directorates in Polish joint stock companies is comparable with other countries. Board members in Poland are significantly younger than, for example, in the USA. Women constitute an important group of board members. Insurance companies and investment funds are closely connected with other companies, but banks are not.The monitoring system developed enables us to identify who is, and who was, a board member of every joint stock company. It also enables us to identify, for every person, which board he or she now serves on, and has served on, in the past. The system also enables us to produce different reports concerning, for example, changes in certain indexes in subsequent years. The system is also accessible via the Internet.
