Spółka komandytowa jest popularną formą prawną prowadzenia działalności gospodarczej przez przedsiębiorców. Działając w tej formie, zabezpieczają osobisty majątek przed wierzycielami spółki i osiągają korzyści podatkowe. Tworzą jednak skomplikowaną i kosztowną konstrukcję, której działanie nie zawsze jest konieczne i obarczone jest ryzykiem podatkowym. Zastosowanie odpowiednich kryteriów pozwala na ocenę, czy prowadzenie przedsiębiorstwa wymaga formy spółki komandytowej, czy korzyści podatkowe można osiągnąć poprzez zastosowanie właściwych rozwiązań w spółce z ograniczoną odpowiedzialnością.

A limited partnership is a popular legal form of running a business by entrepreneurs. Acting in this form, they secure personal assets from the company’s creditors and achieve tax benefits. However, that form is a complicated and expensive construction, the operation of which is not always necessary and carries a tax risk. The application of appropriate criteria allows to assess whether running a company requires the form of a limited partnership, or whether tax benefits can be achieved by applying appropriate solutions in a limited liability company.
