This article is aimed at evaluating the influence of the forms of controlling stock-listed companies upon the decisions being taken in regard of the distribution of profits and the payout of dividends in the unstable macro-economic environment. The form of the ownership supervision reflects the relations between shareholders and managers of the company. The conflicts resulting from the separation of ownership and management of a company concern, among others, the dividend payout. The dividend constitutes a shareholder’s reward for rendering his capital available to the company, while for a company it is a cost in the form of the capital’s reduction and the limitation of investing abilities. Whereas the macro-economic environment influences the financial standing of companies and their profits, which are then used for paying out dividends, and simultaneously defines the investment needs of companies. A hypothesis can be put forward that the economic slowdown limits the access to attractive investment projects, which results in companies being interested in the payout of relatively high dividends. This hypothesis is verifiable on the ground of the decisions taken in regard of the distribution of the profit made by the stock-listed companies of the processing industry between 2007 and 2012.

Research background: Making decisions concerning the payout policy depends on many diversified neoclassical and behavioral determinants. Although these factors are well-described in the literature, there is still a research gap concerning the lack of a comprehensive impact model of payout policy determinants on the investment attractiveness of shares. Purpose of the article: The aim of this paper is to present the diverse nature of the relationship between different forms of cash transfer to the shareholders and in-vestments attractiveness of public companies in the context of various determinants of payout policy. The possibility of achieving this objective was conditioned by the empirical verification of research hypothesis stating that the diversify of payout forms is accompanied by the different determinants of payout policy that condition an effective investment of stock investors' capital. Methods: The empirical research was conducted among the electromechanical companies listed on the Warsaw Stock Exchange in the years 2006-2015. The data for analysis were obtained from Notoria Service database and Stock Exchange Yearbooks. The calculations were carried out using the methodology of taxonomic measure of investment attractiveness, as well as dividend premium and share repurchase premium. Findings & Value added: The final conclusion of our research is that the companies con-ducting the payout policy in different forms of cash transfer differ in terms of many characteristics, such as: financial standing, market value, ownership structure, company's size and age. Moreover, their investment attractiveness differs according to regularity of payment, stock exchange situation and shareholders' preferences. The value added of this paper is a new approach to the evaluation of capital investment with a special emphasis on the determinants of payout policy.

This paper discusses the issue of the dividend distribution from the perspective of capital market investors and dividend distributing companies, listed on the largest stock exchanges. The goal of the study is to demonstrate the specificity of the dividend policy of companies functioning on the world’s most developed capital markets – the USA and Western Europe. The study covers 150 companies, their dividend policy, as well as the regularity and dynamics of dividend distribution in the period 2011-2015. The results of the study indicate that in companies listed on the developed capital markets, systematic dividend distribution constitutes a stable element of remunerating investors. The analysis also pointed to the considerable differences between the dividend policy adopted by companies listed on the Warsaw Stock Exchange and the dividend policy of companies which are components of the S&P500, FTSE100, DAX, and CAC40 indices

The capital market appeared in Poland relatively not far ago, so it is the young market and is not shaped well. Although, the development rate does not satisfy all the believers of the capital market, it should be emphasized that this market is functioning and is developing. Market indicators are a significant element of the market analysis performed by means of fundamental analysis. The aim of this article is to study the statistic regularity in the scope of indicators connected with a dividend. In Poland dividend is not discussed often and indicators connected with dividend are practically not used in stock analysis. This study will show the usefulness of these measures in the analysis connected with investment on the stock exchange market. The analyses are conducted for some dividend variables on the Warsaw Stock Exchange (dividend rate of return and pay indicators, stopping and re-investment). The analyses concern data in the period of 2000÷2006. Some statistical parameters to detect statistical regularity for dividend rate of return and pay indicators, stopping and re-investment on the Warsaw Stock Exchange are used in the paper. The author tried to analyse the relation between selected variables too. The study should make it possible to decide if measures such as dividend rate of return and pay indicators, stopping and re-investment are unquestionably important and useful in stock analysis. It is particularly important from the point of view of long-term investment, as well as the fundamental analysis. They should be included in the group of market indicators in case of statistically significant influence of measures connected with a dividend on investment profitability. This leads to the possibility of significant growth of an investment that can turn out profitable on the capital market.

Since the beginning of the 21st century there has been a significant increase in the value of the dividend payments in the world. In 2012, their value exceeded $ 1 trillion and in 2014 it has already been $ 1,167 trillion. In the article, after a short presentation of the payment policy changes on the developed capital markets in the 20th century, details changes in the value of dividends in the world in the years 2009–2014 were presented. The analysis is also carried in terms of the major regions and markets around the world.

Od początku XXI w. obserwuje się znaczący wzrost wartości wypłacanych dywidend na świecie. W 2012 r. ich wartość przekroczyła 1 bln dolarów, w 2014 r. było to już 1,167 bln dolarów. W artykule, po krótkim przedstawieniu zmian polityki wypłat na rozwiniętych rynkach kapitałowych w XX w., szczegółowo omówiono zmiany wartości wypłat dywidend na świecie w latach 2009–2014. Analizę przeprowadzono również w ujęciu głównych regionów i rynków na świecie.

The study attempts to extend the knowledge regarding the dividend policy of nonfinancial companies listed on the Warsaw Stock Exchange. In the previous part of the research the author analysed among others, determinants of dividend policy on the Polish capital market. The main aim of this paper, according to the dividend signalling theory, is to investigate whether the dividend changes convey some information about the future profitability of non-financial firms listed on the WSE paying dividends for at least two consecutive years. The study examines the relation between dividend changes and future profitability changes measured in terms of earnings per share payments of nonfinancial companies listed on the Warsaw Stock Exchange paying dividends in the 2007-2012 period using panel data analysis. The main hypothesis states that changes in dividends are positively correlated with changes of earnings in the year after the change in dividend. The research results show that firms that increase dividends are more profitable than firms that either decrease their dividends or do not make any changes in their dividend policy. Unpredictably, firms that cut dividends are more profitable than firms that leave dividends unchanged. The results of panel data analysis indicate that neither dividend increases, nor the dividend increases in the current year are related to future changes in earnings. Thus, the results do not support the hypothesis. To conclude, the current changes in dividends are not reliable signals of future earning changes one year ahead in the same direction.

Share repurchase happens when a company repurchases its own shares for any purpose determined by the general meeting of shareholders, including their further sale. Share repurchase is like dividend payout a form of transferring profit to shareholders. However, contrary to dividends, it is quite a new legal institution, which gained importance in developed capital markets as late as in the last twenty years of the 20th century. This article presents the development of the institution of share repurchasing and changing relations between purchasing shares and paying out dividends in developed capital markets. It also presents the legal situation concerning share repurchase in Poland, pointing out that only the regulations introduced in 2008 adjusted Polish legal solutions to those valid in developed capital markets.

The issue of pension system is discussed in the article. The leading thesis is as follows: social insurance are not savings or investments or tax; (intergenerational) pension insurance contract should not be converted into a loan agreement or contract of capital transfer having the characteristics of gambling, which unfortunately happened in Poland. Proving this thesis will be to demonstrate the nature and impact of capital pillar in pension system.

Research background: Dividends have been the subject of scientific research for decades. However, many aspects of payout policy are still controversial, and research provides contradictory results. One research area is the impact of the ownership structure on dividend policy. Although many scientific studies on this subject have been conducted, there is still a lack of research on the impact of managerial ownership on adjusting the dividend payout to investor sentiment. It was this research gap that motivated us to investigate the issue. Purpose of the article: The aim of the paper is to evaluate how managerial ownership affects the disposition of companies to adjust their dividend payouts to investor sentiment. Achieving that objective provides stock market investors with additional information and allows for its practical implications as they seek the best investment opportunities. Methods: The main method of investigation is a panel regression model with random effects. This model is used based on the Breusch-Pagan test and the Hausman test, while the information criteria of Akaike, Schwarz, and Hannan-Quinn are also taken into consideration. Additionally, descriptive statistics and the Pearson correlation coefficient are used. The research sample consists of Polish companies from the electromechanical industry sector that are listed on the main market of the Warsaw Stock Exchange (WSE) in the period 2009-2018. Findings & Value added: Our findings reveal that: 1) an increase in dividend premium results in a higher payout in order to cater to investor sentiment; 2) if the manager holds the greatest number of shares, the catering effect weakens. The main contribution of the paper is a new approach to the catering theory of dividends, which includes the impact of managerial ownership.

Over the past two decades the ideology of shareholder value has become entrenched as a principle of corporate governance among companies. A well-established corporate governance system suggests effective control and accounting systems, stringent monitoring, effective regulatory mechanism and efficient utilisation of firms’ resources resulting in improved performance. The object of the research presented in this paper is to provide empirical evidence on the effects of corporate governance on shareholder value maximization of the listed companies in Ghana. Data from ten companies listed on Ghana Stock Exchange covering the period 2003 –2007 were used and analysis done within the panel data framework. The dependent variables, dividend per share and dividend yield are used as a measure of shareholder wealth maximization and the relation between corporate governance and shareholder wealth maximization is investigated. The regression results show that both the board size and the independence have statistically significant relationship with shareholder wealth maximization.

The author of the article outlined the results of the research on the taxonomy and the specificity of the transfer of profits to shareholders of dividend companies which are components of the WIG, DAX, CAC40 and S&P 500 indexes for the period 2013-2019.The purpose of the article is a critical assessment of the systematic distribution of dividends by domestic and international companies, taking into account the rate of dividend growth, the cumulated rate of dividends and the average rate of return on investments in shares of these companies. The studies carried out included 120 companies listed on the Polish, German, French and American markets (30 companies in each country), which in the period 2013-2019 paid dividends and at the end of 2019 had the highest capitalization in a given index. Then the author analysed for each market only those issuers who paid the dividends without interruption during the period considered (continuously for 7 years).

Autor artykułu przedstawił wyniki badań nad systematyką oraz specyfiką transferu zysku do akcjonariuszy spółek dywidendowych będących komponentami indeksu WIG, DAX, CAC40 oraz S&P500 za okres 2013-2019. Celem artykułu jest krytyczna ocena systematyki wypłaty dywidend przez spółki krajowe oraz międzynarodowe z uwzględnieniem stopy wzrostu dywidend, skumulowanej stopy dywidendy oraz średniej stopy zwrotu z inwestycji w akcje tych spółek. Przeprowadzone badania objęły 120 spółek notowanych na rynku polskim, niemieckim, francuskim oraz amerykańskim (po 30 spółek w każdym kraju), które w latach 2013-2019 wypłacały dywidendy i na koniec 2019 roku charakteryzowały się największą kapitalizacją w danym indeksie. Następnie autor dokonał analizy dla każdego rynku tylko tych emitentów, którzy w badanym okresie wypłacali dywidendy bez przerwy (przez 7 lat).

The decision on the payment of dividends by a company is determined by many factors. One of them is the separation of ownership and management, associated with this form of supervision in the enterprise. The control mechanism of the share holders over the managers is share holding structure that reflects the level of ownership’s concentration. The purpose of this article is to verify the research hypothesis, according to the degree of concentration of ownership, and whether the related form of corporate governance have an impact on decisions concerning net profits allocation and dividends payment. The research covers the community of 117 companies. The analysis covers the 2013–2015 period. The study confirmed the validity of the formulated hypothesis.

Decyzja o wypłacie dywidendy przez spółkę jest uwarunkowana wieloma czynnikami. Jednym z nich jest fakt rozdzielenia własności i zarządzania. Mechanizmem kontrolnym akcjonariuszy w stosunku do menedżerów jest struktura akcjonariatu odzwierciedlająca stopień koncentracji własności. Celem artykułu jest weryfikacja hipotezy, że struktura akcjonariatu i związana z nią forma nadzoru korporacyjnego mają wpływ na decyzje dotyczące podziału zysku i wypłaty dywidendy. Badaniem objęto 117 spółek giełdowych, płacących systematycznie dywidendy. Analiza obejmuje okres 2013–2015. Przeprowadzone badanie potwierdziło słuszność sformułowanej hipotezy.

It is generally believed that the amount of dividends paid by a  company determines the net profit for the last financial year. In fact, the dividend must not be in direct relation with the net profit, as a  source of funding may also be retained earnings. The purpose of this article is to examine to what extent the companieslisted on the Warsaw Stock advantage of this opportunity. In 2010-2012 it made the 39 companies and the share of retained earnings in the amount paid by the company’s dividend was 43%. One of the reasons for this is the economic slowdown, accompanied by limited access to attractive investment projects.

Despite Europe’s global importance, very little published research has examined payout policy on this continent. The rather scarce research which has been conducted in this field throughout European companies cover different countries, groups of companies and timeframes, which makes it very difficult to perform comparisons and formulate proper conclusions. The aim of this work is to analyze the payout policy of European companies with comparison to companies outside the European market. Research on the literature has been performed as well as own analyses. The most important tendencies of the European companies’ payout policy have been formulated. Companies in Europe have higher propensity to pay dividends than their counterparts outside Europe and increasing, yet still variable, payout values, both dividends and share repurchases. European companies transfer a substantially bigger part of their net profit to their shareholders than their counterparts from the other continents. An increment in the dividend payout ratio in Europe is clearly visible over the last couple of years. High dividend yields of European companies compensate low yields of governments and corporate bonds.

Pomimo wielkiego znaczenia Europy w globalnej gospodarce, stosunkowo niewiele jest publikacji na temat polityki wypłat spółek europejskich. Prowadzone, stosunkowo nieliczne badania polityki wypłat przez spółki europejskie dotyczą różnych państw, grup spółek i okresów, co powoduje duże trudności w porównaniach i formułowaniu właściwych wniosków. Celem pracy jest analiza polityki wypłat spółek europejskich na tle spółek z rynków pozaeuropejskich. Przeprowadzono badania literaturowe oraz własne analizy i wyodrębniono najważniejsze tendencje polityki wypłat spółek europejskich. Spółki europejskie charakteryzują się wyższą niż pozaeuropejskie skłonnością do płacenia dywidend i rosnącą, chociaż zmienną, wartością wypłat, zarówno dywidend jak i nabywania własnych akcji. Spółki europejskie przeznaczają znacznie większą część zysków netto dla akcjonariuszy niż spółki z innych kontynentów przy czym w ostatnich latach obserwuje się tendencję wzrostu stóp wypłat dywidend w Europie. Wysokie stopy dywidend europejskich spółek kompensują niskie oprocentowanie obligacji skarbu państwa i korporacyjnych.

Polityka dywidendy jest deklaracją zarządu spółki, która obejmuje ogólne założenia co do sposobu podziału wypracowanego zysku w przedsiębiorstwie. Jasno i precyzyjnie określona polityka dywidendy stanowi ważne źródło informacji w zakresie budowania oczekiwań względem spółki przez inwestorów. Zasadniczym celem artykułu jest analiza i ocena realizowanych polityk wypłat dywidend przez przedsiębiorstwa z udziałem Skarbu Państwa notowanych na Giełdzie Papierów Wartościowych w Warszawie. Analiza przeprowadzonych badań wskazuje na to, iż spółki z udziałem Skarbu Państwa posiadały zdefiniowane polityki wypłat dywidend, które znajdowały swój wyraz w regularnych i stabilnych wypłatach dywidend.

The dividend policy is a declaration of the company’s management board, which comprises general assumptions as to the manner of distribution of the retained earnings at an enterprise. The clearly and precisely defined dividend policy is an important source of information as regards expectations towards the company by its investors. The essential aim of the article is to analyse and assess the implemented policies of dividend pay-off by enterprises with the State Treasury’s share listed on the Warsaw Stock Exchange. The analysis of the carried out research points out that companies with the State Treasury’s share had defined policies of dividend payment that were expressed in regular and stable payments of dividends.

The relationship between dividend decisions and investment decisions of companies has been the subject of scientific analyses and inquiry for decades. They show that the tendency of companies to pay dividends and their amount are determined among other things by their stage of development. According to the theory of dividends based on the life cycle, most income dividend is spent on dividends by companies in the phase of maturity, because their investment capabilities are limited and the demand for external capital is little. The aim of the article is to check whether the assumptions of this theory are true in Polish conditions. The analysis included 75 companies, which in the years from 2014 to 2016 each year shared the profits with their shareholders. With regard to the regularity of paying dividends these companies have been defined as dividend companies. By studying the relationship between the amount of dividends, net financial results and the value of equity and assets of the companies, it was demonstrated to what extent the payment of dividends determines the change as far as their material and capital resources are concerned. The negative correlation between the amount paid dividends and an increase in assets and equity was confirmed, which is consistent with the theory of dividends based on the life cycle of a company.

Zależność między decyzjami dywidendowymi a decyzjami inwestycyjnymi przedsiębiorstw od kilkudziesięciu lat stanowi przedmiot analiz i dociekań naukowych. Wynika z nich, że skłonność firm do płacenia dywidend i ich wysokość determinowane są m.in. przez stadium ich rozwoju. Zgodnie z teorią dywidend, opartą o cykl życia firmy, najwięcej zysku przeznaczają na dywidendy przedsiębiorstwa znajdujące się w fazie dojrzałości, ponieważ ich możliwości inwestycyjne są ograniczone, a zapotrzebowanie na kapitały zewnętrzne jest niewielkie. Celem artykułu jest sprawdzenie, czy w warunkach polskich założenia tej teorii są prawdziwe. Analizą objęto 75 spółek, które w latach 2014–2016 corocznie dzieliły się zyskiem z akcjonariuszami. Mając na względzie regularność płacenia dywidend, spółki te określono mianem spółek dywidendowych. Badając relację między kwotami dywidend, wynikami finansowymi netto a wartością kapitałów własnych i aktywów spółek, wykazano, w jakim stopniu wypłata dywidend determinuje zmiany ich zasobów majątkowych i kapitałowych. Potwierdzono ujemną zależność między wielkością płaconych dywidend a przyrostem aktywów i kapitałów własnych, co jest zgodne z teorią dywidend opartą o cykl życia firmy.

Przedmiotem opracowania było wskazanie, że regularnie wypłacane dywidendy w długim okresie nie skutkują istotnym zmniejszeniem zasobów kapitałowych. Podstawę analizy stanowiły dwie próby badawcze. Pierwsza obejmowała spółki dokonujące nieprzerwanych wypłat dywidend z zysków wygospodarowanych w latach 2005-2017. Druga próba badawcza zawierała natomiast spółki, które nie wypłacały dywidend więcej niż czterokrotnie w analizowanym okresie. Zaobserwowano, że spółki dywidendowe wykazują mniejszą zmienność struktury kapitału aniżeli niedywidendowe. Wartość wypłat nie stanowiła natomiast głównej determinanty zmian struktury kapitału. Wysokość zarówno zasobów kapitału, jak i wypłat dywidend stanowi jedynie komponent strategii finansowej przedsiębiorstwa.

The subject of this paper was to point out that regularly paid dividends on a long– term basis do not result in a significant reduction of the capital. Two research samples were the basis for this analysis. The first included companies that were making uninterrupted payments of dividends from the profits they generated between 2005 and 2017. The second research sample included companies that did not pay dividends more than four times during the examined period. It has been stated that dividend companies show less variation of the capital structure in comparison to non-dividend companies. The value of payments was not the major determinant of capital structure changes. Both capital stock and dividends are only components of the company’s financial strategy.

Theoretical background: The issue of automatic dividend reinvestment programs is rarely discussed in Polish literature, there are no comprehensive studies on automatic dividend reinvestment programs. This issue most often appears when discussing the tools of dividend policy.Purpose of the article: Presentation of the assumptions of automatic dividend reinvestment programs (plans), which can be an instrument of the dividend payment policy in a joint stock company, as well as analysis of the automatic dividend reinvestment programs offered by 30 American companies representing Dow Jones Industrial Average Index.Research methods: The study is based on a literature review and a documents (brochures) analysis describing dividend reinvestment programs.Main findings: Dividend reinvestment programs have been implemented by all companies included in the Dow Jones Industrial Average Index. A significant part of the analyzed programs belongs to the group of the so-called No-Fee Dividend Reinvestment Programs. The observations made show that often dividend reinvestment programs are supplemented by additional share purchase programs called Optional Cash Purchase Plans (OCPs) or Stock Purchase Plans (SPPs).

Zagadnienie to najczęściej pojawia się przy omawianiu narzędzi polityki dywidendy.Cel artykułu: Przedstawienie założeń programów (planów) automatycznej reinwestycji dywidendy, które mogą stanowić narzędzie polityki wypłaty dywidendy w spółce akcyjnej, a także dokonanie analizy programów automatycznej reinwestycji dywidendy oferowanych przez 30 amerykańskich spółek reprezentujących Dow Jones Industrial Average Index.Metody badawcze: W opracowaniu wykorzystano jako metody badawcze analizę literatury oraz analizę dokumentów (broszur) opisujących programy automatycznej reinwestycji dywidendy.Główne wnioski: Programy automatycznej reinwestycji dywidendy zostały wdrożone przez wszystkie spółki wchodzące w skład Dow Jones Industrial Average Index. Znaczna część analizowanych programów zalicza się do grupy tzw. bezpłatnych programów reinwestycji dywidendy (No-Fee Dividend Reinvestment Programs). Z dokonanych obserwacji wynika, że często programy automatycznej reinwestycji dywidendy uzupełniane są o dodatkowe programy zakupu akcji, określane jako Optional Cash Purchase Plans (OCPs) lub Stock Purchase Plans (SPPs).

Significant decrease of expected budget tax revenues in 2008 and 2009, due to economic slowdown in Poland, implied uncontrolled public budget deficit increase threat. Ministry of Finance had to face dilemma how to avoid it, taking into account market conditions. The aim of this paper is to verify whether State decided to excessively increase the level of dividends paid by state-owned companies listed on the Warsaw Stock Exchange during crises period, without taking into account interest of minority shareholders. We collected data from 2000 to 2013 to investigate whether State dividend policy was in accordance to literature accomplishments. Results of our analysis show increasing significance of dividend as a source of budget revenues. Moreover, we observed high concentration of companies that distribute their profits (in form of dividend) to State. Based on the theory review, we concluded that State does not conduct clear, long term dividend policy and does not rely on dividend payment recommendations made by companies management boards. On the other hand, we did not prove that State implemented unusual dividend policy during the crisis period.

This article presents the effects of submitting a statement of withdrawal from a share purchase agreement on the rights and obligations of the withdrawing shareholder, particularly voting right, dividend.s right or obligation to make additional payment. The author also analyses whether the ownership of the shares passes back to the previous owner ipso jure, or whether it is necessary to conclude a separate dispositive agreement for that purpose. The paper presents that the effects of such statement on these rights and obligations should be determined firstly based on the contractual arrangement made by the parties to the share purchase agreement. The provisions of the Civil Code and the Commercial Companies Code shall be applied accordingly only in the event of lack or inadequacy of contractual arrangements.
