Uregulowania zawarte w art. 432 -4310 k.c. wiążą firmę ściśle z osobą przedsię-biorcy. Pojęcie oznaczenia przedsiębiorstwa z art. 5 ustawy z dnia 16 kwietnia 1993 r. o zwalczaniu nieuczciwej konkurencji obejmuje przedsiębiorstwo w znaczeniu podmiotowym, przedmiotowym i funkcjonalnym. Przepisy prawa chronią oznaczenie przedsiębiorcy, który występuje w obrocie, przed naruszeniem jego praw do nazwy. Zależy to od celu i przedmiotu ochrony. Przedmiotem ochrony mogą być objęte: nazwa przedsiębiorcy, dobro osobiste, znak towarowy, utwór, oznaczenie przedsiębiorstwa, prawo do domeny internetowej. W przepisach kodeksu cywilnego znajdują się podstawowe regulacje dotyczące nazwy przedsiębiorstwa – firmy. Problematyka ochrony oznaczeń przedsiębiorcy wymaga sięgnięcia do licznych aktów prawnych, a wybór instrumentów służących ochronie należy każdorazowo do przedsiębiorcy.

The rules contained in the Civil Code provision 432 -4310 associated company closely with the person of the entrepreneur. The concept of marking the company of art. 5 of the Act of 16 April 1993 about unfair competition include an undertaking in the sense of subjective, objective and functional. The law protects the designation entrepreneur who is marketed before the violation of his rights to the name. It depends on the purpose and object of protection. The object of protection can be included: the name of the entrepreneur, personal interests, trademark, track, marking the company, the right to an Internet domain. The provisions of the Civil Code contain basic regulations concerning the name of the company - the company. The issue of protection of entrepreneurs need to delve into a number of legal acts, and the choice of instruments for the protection should be each time to the entrepreneur.

Celem artykułu jest wskazanie zagrożenia, jakie może wystąpić w obrocie gospodarczym w konsekwencji prowadze-nia działalności gospodarczej przez spółki z o.o. spółki komandytowe. Nazwa spółki z o.o. spółki komandytowej wprowadza w błąd strony transakcji handlowych co do osoby wspólnika. W takiej konstrukcji prawnej następuje połączenie cech spółek osobowych i kapitałowych w jednej formie organizacyjno – prawnej. Koniecznym elementem nazwy jest wskazanie podmiotowości prawnej wspólnika. W sytuacji spółki z ograniczoną odpowiedzialnością spółki komandytowej ma to podwójne znaczenie. Po pierwsze ukierunkowuje gdzie należy szukać prawa do reprezentacji spółki i prowadzenia jej spraw. Po drugie stanowi ostrzeżenie przed faktycznie ograniczoną odpowiedzialnością komplementariusza za zobowiązania spółki. Przy opracowaniu stawianego problemu wykorzystano dogmatyczną metodę badawczą, analityczną metodę badawczą oraz analizę orzecznictwa

The aim of this article is to identify the hazards that can occur in business as a result of establishment of a disregarded entity limited partnerships. The name of LLC limited partnership misleads commer-cial transaction parties as to the partner person In this legal construction there is the legal merger of the characteristics of partnerships and companies in one organizational- legal form. A necessary element of the name is an indication of the legal personality of an accomplice. In the case of a limited liability partnership it has a double meaning. First, it directs where to look for the right to represent the company and the conduct of its affairs. Secondly, it is a warning against the real limited liability of the general partner for the obligations of the company. The dogmatic method of research, analytical research method and analysis of the case law were used in the course of the research.
