In the Sejm’s draft position, concerning the application of the National Council of Agricultural Chambers, the author claims that rules of the Hunting Law, so far as they do not provide obligatory permit from a farmer – who is an owner of land included in a hunting zone – to lease that land forming a hunting district, are compatible with the Constitution. However, provisions regarding compensations for hunting damages are considered unconstitutional.

The constitutional complaint concerns regulations of the Law on Proceedings Before Administrative Courts. The complainant moves for a statement that Article 173 para 1 of that act does not provide a possibility to lodge a cassation appeal against the Supreme Administrative Court’s order on rejection of the claim on for reopening of the proceedings before the SAC. After analysis, it has been assessed that the contested provision conforms to the Constitution of the Republic of Poland. Moreover, there is no real and direct interest of the complaining company which would be protected by the constitutional complaint directed at stating the unconstitutionality of the indicated provision.

In the proposed draft position the author points to the incompatibility with the Constitution of Article 51 para. 1 subpara. 3 of the Act on Court Bailiffs and Enforcement insofar as it does not provide for a separate fixed fee rates for emptying the dwelling of the things or people in a situation in which the debtor, after being given notice by a bailiff, has voluntarily performed the obligation within the prescribed time period. The author points out that the definitive reason for finding the unconstitutionality of the provision in question is an internal inconsistency of the mechanism for determining the amount of an enforcement fee, the results of which are contrary to the basic principles of law and the structure of such proceedings as provided for in the Code of Penal Procedure, and at the same time violates the rights of the debtor, discouraging him, in fact, from voluntary performance of the obligation. In the author’s view, proceedings should be discontinued in relation to Article 51 para. 2 of the Act on Court Bailiffs and Enforcement, the remaining scope of the question of law should be left unexamined.

The author indicates that the provision of the aforementioned law is inconsistent with the provisions of the Constitution and the Convention for the Protection of Human Rights and Fundamental Freedoms. This provision includes the power of a executor who executes mortgage foreclosure, who is obliged to remove an indebted and his household members, where no premises for relocation were indicated to the indebted, or where he is unable to meet his own housing needs. The applicant questioned the constitutionality of legislative omissions, in the result of which there is a possibility of conducting executive proceedings in the administration regarding eviction from residential premises “on the street”.

According to the dominant view of doctrine and case law, the request to record in the minutes an objection against the resolution of the shareholders' meeting is an act of diligence separate from the act of voting, and a necessary condition for bringing an action for the revocation or declaration of invalidity of the resolution. The article provides for the interpretation of the provisions of Article 250 point 2 and Article 422 § 2 point 3 of the Code of Commercial Companies, including the context of the systemic conditions of the analyzed institution, primarily Article 45 paragraph 1 of the Constitution of Poland. Despite the tendency to literal reading and strict interpretation of these provisions, the author proposes to take into account the results of functional and systemic interpretation, inter alia, in relation to the manner and form of making such a request, as well as the assessment of the moment to which its formulation is possible.

Zgodnie z poglądem dominującym w doktrynie i orzecznictwie żądanie zaprotokołowania sprzeciwu wobec uchwały zgromadzenia wspólników lub walnego zgromadzenia akcjonariuszy stanowi odrębny od aktu głosowania akt staranności i konieczną przesłankę wytoczenia powództwa o uchylenie lub stwierdzenie nieważności uchwały. W artykule podjęto się wykładni przepisów art. 250 pkt 2 i art. 422 § 2 pkt 3 Kodeksu spółek handlowych, również w kontekście ustrojowych uwarunkowań analizowanej instytucji, przede wszystkim art. 45 ust. 1 Konstytucji RP. Mimo panującej tendencji do literalnego odczytywania i ścisłej interpretacji tych przepisów Autor proponuje uwzględnienie rezultatów wykładni funkcjonalnej i systemowej, m.in. w odniesieniu do sposobu i formy wystąpienia z takim żądaniem, jak i oceny momentu, do którego jego sformułowanie jest możliwe.

The authors claim that the new Constitutional Tribunal bill, aimed at resolving many essential problems that have appeared in recent years in relation to the jurisprudence of the Tribunal, deserves a positive assessment. However, some of the proposed solutions raise doubts as to their constitutional basis and systemic consistency. The authors point out that some of the issues cannot be solved by the bill due to constitutional limitations. Therefore, they propose to link the adoption of the bill with a prior change of the provisions of the constitution which govern the functioning of the constitutional court. It is the only way to carry out the changes guaranteeing the appropriate level of adjudicative efficiency of the Tribunal. The authors also point out the need for legislative‑techniques changes in some articles of the bill.

The subject of the article is a comparative analysis of the solvency test - a legal instrument that conditions causa societatis payments for limited liability companies upon ascertaining their impact on its future liquidity (ability to pay debts as they come due), which has recently been incorporated into the Polish legal system with reference to a simple joint-stock company (pol. Prosta Spółka Akcyjna) (Article 30015 § 5 of Polish Commercial Companies Code). Considering that the solvency test originated in common law, the comparative analysis of the instrument in question was set against the background of selected foreign legal systems, i.e., the law of New Zealand, United States and the United Kingdom, where the solvency test is shaped much differently than the polish one.

The article addresses the imputed inconsistency with Polish Constitution of the provisions of the Code of Civil Procedure which require application of Article 160 of the Code of Administrative Procedure in the wording valid before 30 September 2003 in relation to claims for compensation of damages, including lost benefits as a result of an administrative decision issued before 1 September 2004. The authors claims that the questioned provision of the Code of Civil Procedure is inconsistent with Article 77 (1) in conjunction with Article 2 and Article 32 of the Constitution and is not inconsistent with Article 21 (1) and Article 64 (1) and (2) of the Constitution.
