The European Cooperative Society (Societas Cooperativa Europaea) may be formed by a merger between cooperatives formed under the law of a Member State with registered offices and head offices within the UE, provided that at least two of them are governed by the law of different Member States. The merger procedure is divided on two stages. Within these stages several actions can be distinguished which are combined on one legal action. In the article author discusses few of those actions, legal nature of a cross – boarder merger in order to form a SCE and the issue of adjusting proper legal regulations for the cross – boarder merger procedure. In the end Author discusses also the issue of legality of the cross – boarder merger.

Wszechstronna analiza regulacji prawnych dotyczących spółdzielczego lokatorskiego prawa do lokalu mieszkalnego nakazuje odrzucić twierdzenie, iż nie ono gwarantuje zaspokojenie potrzeb mieszkaniowych osobom bliskim wobec członka spółdzielni, który aktualnie tym prawem dysponuje. Zważyć bowiem należy, iż jakkolwiek spółdzielcze lokatorskie prawo do lokalu mieszkalnego nie podlega dziedziczeniu na zasadach określonych w kodeksie cywilnym, to jednak w ustawie o spółdzielniach mieszkaniowych przewidziane zostały instrumenty, które umożliwiają osobom bliskim dla członka spółdzielni uzyskać to prawo w sytuacji, gdy po stronie pierwotnie uprawnionego członka ów tytuł do władania lokalem z jakiś przyczyn wygaśnie. Możliwość uzyskania (przejęcia) tego prawa ma przy tym charakter roszczenia wobec spółdzielni, którego realizacja może być dochodzona na drodze postępowania sądowego. Istotną cechą spółdzielczego lokatorskiego prawa do lokalu mieszkalnego jest także to, że jego dysponent – poprzez wypowiedzenie członkostwa w spółdzielni – może w każdej chwili wyzbyć się owego tytułu do zajmowanego lokalu. Wówczas uzyskuje on względem spółdzielni wierzytelność o wypłatę wartości rynkowej lokalu, do którego przysługiwało mu spółdzielcze lokatorskie prawo do lokalu mieszkalnego. Z uwagi na te rozwiązania prawne przyjąć można, iż ekonomiczna wartość omawianego prawa w istocie rzeczy zbliża się do prawa własności lokalu.

A comprehensive analysis of the legal regulations concerning cooperative tenancy right to a dwelling demands rejecting of the claim that it does not guarantee providing of the housing to those close to the member of the cooperative, who is currently in possession of this right. It should be noted that although cooperative tenancy right to a dwelling is not inherited according to the rules set out in the Civil Code, the Housing Cooperatives Act provides the instruments that allow close relatives of a cooperative member to obtain that right, when the right of the legitimate member to occupy the premises will expire for some reason. The possibility of acquiring this right is a claim towards a cooperative, which execution can be claimed through legal proceedings. An important feature of cooperative tenancy right to a dwelling is also that its disposer – by denouncing membership in a cooperative – can get rid of that title for the occupied premises at any time. Then he obtains a receivable towards the cooperative for the payment of the market value of the premises, to which he had a cooperative tenancy right. Due to these legal solutions, it can be assumed that the economic value of the right in question is in fact approaching the ownership of the premises.

Bankowość spółdzielcza i spółdzielcze kasy oszczędnościowo-kredytowe są równouprawnionymi elementami tego rynku, w stosunku do których niedopuszczalne są żadne elementy dyskryminacji politycznej, prawnej i ekonomicznej. Z uwagi na pełnioną przez nie funkcję społeczną, świetnie wpisują się też w funkcje społeczne Unii Europejskiej. Obowiązująca Karta Praw Podstawowych Unii Europejskiej dodatkowo- obok traktatów- gwarantuje silną pozycję spółdzielczości finansowej chroniąc jej prawo do swobody działalności gospodarczej i prawa majątkowe.

Polish and European financial market is based on the more general principle of the social market economy. Co-operative banking and co-operative savings and credit unions are such parts of the market that have equal rights to the others, and toward which there shall not be any discrimination elements of political, legal and economic nature. Due to their social function, they fit well into social functions of the European Union. The existing Charter of Fundamental Rights of the European Union- next to treaties- also ensures a strong position of financial cooperatives, protecting its right to freedom of economic activity and property rights.

The next (30) part of Cooperative Thought Library reminds of excerpts of the Bronisław Załuski’s book entitled: Earning and economic associations in Grand Duchy of Posen and West Prussia, with particular emphasis on “Peasants”, Warsaw 1921. Before World War I, more than 200 Polish folk banks, 17 folk banks in Silesia, 22 parcels’ associations, 60 "Peasants" and 10 companies of different types were functioning. All of these consociated almost 160 thousand members, having more than 306 million marks assembled deposits, having less than 30 million marks of the share capital.

The main aim of this article is to demonstrate the ability of cooperatives to create internal resources of a region through foreign direct investments and the creation of financial, physical, human, and social capital. It concerns the comparing and emphasizing of the stability of resources created in a region by these forms of action. In order to demonstrate the stability of internal resources of a region, generated through foreign direct investment, a research was conducted involving the analysis of the rankings of the largest foreign investors in Poland, statistical data from the Central Statistical Office and the NBP, showing the inflow and outflow of FDIs, the number of companies with foreign capital participation, and the number of people working in them. In addition, a case study was used for the regions where the investments have been withdrawn, showing the importance of cooperatives for the stabilization of the potential of the regions. The study shows that the transfer of FDIs is always guided by the maximization of profit, tax optimization of a location, and the native currency exchange rate fluctuations. The following consequences of withdrawal have no significance to foreign investors but affect the regions: the increase in the unemployment rate, the reduction in the income of local residents, the increase in debt, the acquisition of real estate purchased on credit. The case study shows that cooperative enterprises can replace foreign capital in the region, ensuring the stability and durability of its internal resources. The concepts and strategies for regional development should focus on cooperatives as a way to create the internal resources of a region, which are seen as the current development source. Co-operatives can prevent the leaching of resources and backwash effects. The economic policy must ensure the equal treatment of all of the entities investing in the region. Currently, Poland gives the priority to foreign investors over the domestic ones. Cooperative enterprises are particularly discriminated against through double taxation. It is worthwhile to examine the scale of the cooperative movement in the economy of the EU and the US and the policy instruments applied to this form of business in those areas.

Celem artykułu jest określenie etapów rozwoju ruchu spółdzielczego oraz znaczenia spółdzielczości w rozwoju społeczno-gospodarczym w Polsce. Ponadto przedstawiono spółdzielnie na tle gospodarki narodowej oraz aktualny stan liczby spółdzielni działających w Polsce w poszczególnych branżach gospodarki w latach 1989–2016. Rola i pozycja spółdzielczości w rozwoju społeczno-gospodarczym znacznie się różniła na poszczególnych etapach rozwoju, co wynikało z odmiennych warunków funkcjonowania i polityki państwa. Spółdzielczość od początku powstania odgrywała ważną rolę w rozwoju społeczno-gospodarczym. W latach 1947–1989 spółdzielnie odgrywały znaczącą rolę w gospodarce, co wynikało z polityki państwa. Po zmianie systemu gospodarowania pozycja spółdzielczości znacznie się zmniejszyła w zakresie udziału sektora spółdzielczego w gospodarce narodowej oraz liczby podmiotów spółdzielczych w tradycyjnych branżach. Pojawiły się natomiast nowe formy spółdzielcze takie jak spółdzielnie socjalne, grupy producentów rolnych, co świadczy o przydatności tej formy gospodarowania do rozwiązywania wielu problemów społecznych i gospodarczych. O pozycji spółdzielczości powinny decydować potrzeby polskiej gospodarki i polskiego społeczeństwa. Rozwijać powinny się formy spółdzielcze dostosowane do aktualnej sytuacji społeczno-gospodarczej Polski i warunków gospodarki rynkowej. Nie jest ważna pozycja w gospodarce narodowej, ale przede wszystkim wartości, którymi kierują się spółdzielnie, a które będą przynosić korzyści nie tylko ekonomiczne, ale i społeczne. Spółdzielczą formę gospodarowania opartą o wartości takie jak uczciwość, demokracja, troska o innych można wykorzystać jako instrument do rozwiązywania wielu problemów społeczno-gospodarczych. Jest to kierunek rozwoju spółdzielczości opartej o wartości.

The aim of the paper is to determine the stages of the development of the cooperative movement and the importance of cooperative activity in the socio-economic development in Poland. In addition, co-operatives are presented against the background of the national economy and the current state of a number of cooperatives operating in Poland, in particular sectors of economy in 1989–2016. The role and position of cooperatives in the socio-economic development was significantly different at particular stages, which resulted from different conditions of functioning and the state policy. From the beginning, the cooperative played an important role in socio-economic development. In the years 1947–1989, cooperatives played a significant role in the economy, which resulted from the state policy. After the change of the management system, the position of cooperatives decreased significantly in terms of the share of the cooperative sector in national economy and the number of cooperative entities in traditional industries. However, new cooperative forms appeared, such as social cooperatives, groups of agricultural producers, which proves the usefulness of this form of management for solving many social and economic problems. The position of cooperatives should be determined by the needs of the Polish economy and Polish society. Cooperative forms have adapted to the current socio-economic situation in Poland and market economy conditions. It is not a position in the national economy that matters, but above all, the values by which the cooperatives are lead, and which will bring not only economic, but also social benefits. A cooperative form of management based on values such as honesty, democracy and care for others can be used as an instrument to solve many socio-economic problems. This is the direction of the development of value-based cooperative movement.

The article presents the legislative process of creating a cooperative law after 1989 in Poland. In Author’s opinion, the negative phenomena in lawmaking include revision of the Law on cooperatives, especially those concerning the functioning of housing cooperatives, or defining the conditions for the transformation of cooperatives into commercial companies.

Cooperatives in the world has played an important role in socio-economic development of each country. Also in Poland, the cooperatice movement has its own tradition and history. The main feature of the current activities of the cooperative is to focus primarily on local issues. Cooperative forms of management are to realize many functions and tasks, which are also in the free market are not substitutable by other operators or organizational structures. In addition, are important in the development of agriculture both national and local levels. Development of agricultural cooperatives is primarily conditioned by commitment, activity and entrepreneurial population. an important role is played by the local authorities, which, by the decisions can stimulate the development of such projects.

In this article, we investigate on the historical and civic foundations, along with emerging potentials of social cooperatives in Greece. Constituting the most innovative actor of social economy in the country, currently introduced institutional forms of social cooperatives enhance an already plural and vibrant field of not-for-profit activity, which was regrettably left to stagnate under political patronage and structural deficiencies. The introduction of Social Entrepreneurial Cooperatives by Law 4019/2011 and the explicit recognition of social economy for the first time, provide for a decisive jumpstart toward a viable structuration of the field. Along with a concise theorization on the concepts of social economy and social enterprise, a (highly practical for non-Greek speaking readers) integrated register of cooperative entities, cooperative legislation and auditing authorities in Greece is annexed.

The Constitution of the Republic of Poland and the Act on the Exercise of the Mandate of a Deputy or Senator do not formulate a general prohibition of combining a mandate with the exercise of functions in self-governing economic organs, commercial companies, cooperatives or non-governmental organisations. Therefore, as a rule, a Deputy may exercise functions in the organs of a legal person. However, the provisions of the Act formulate prohibitions addressed to Deputies concerning their participation in business activities. In the analysed case of the possibility of holding the position of president of the board of an audit association, such a collision may occur, as the Deputy’s participation in the work of the Sejm regarding regulations concerning the rules for the conduct of business activity, which would be addressed to the members of the audit association, may be questionable.

„Return to Christian thought and life”: the objectives and methods of Janez Krek's Christian-social movementThe turn of the twentieth century in Slovenian culture was marked by a movement, later dubbed “political Catholicism.” The cultural and economic narrative which arose from the movement was in the long term of much greater importance than the political objectives of the Catholic movement itself. The aim of this article is to describe the narrative from the point of view of its most prominent representative, Janez Evangelist Krek (1865–1917).Doctor Krek’s conservative social reforms were able to become one of the pillars of the Slovenian collective consciousness solely because they could be bent to conform to the recurring cultural templates used by the Slovenian society to accept and reshape changes since as early as the beginning of nineteenth century. The imagery constituted by these templates is termed domestic in the article. This is to mean that it is based upon pre-modern cultural capital and traditional survival strategies. Doctor Krek’s work is proof of the ease with which domestic imagery “swallowed” modernity and “spat it out” onto the fringe of society, into the sphere of technical developments, which was then used to protect conservative values and institutions. Paradoxically, it was only in this form that the domestic imagery allowed for the relatively easy acceptance of socialism after World War II. „Powrót do chrześcijańskiego myślenia i życia”. Cele i metody chrześcijańsko-społecznego ruchu Janeza Evangelisty Kreka Na przełomie XIX i XX wieku w kulturze słoweńskiej silnie zaznaczył się ruch później nazwany politycznym katolicyzmem. Bardziej niż postulaty polityczne tego ruchu na rozwój kolektywnej świadomości Słoweńców wpłynęła towarzysząca mu narracja łącząca wątki gospodarcze z kulturowymi. Celem artykułu jest opisanie tej narracji z punktu widzenia jej najważniejszego przedstawiciela – Janeza Evangelisty Kreka (1865–1917).Konserwatywne i prowadzone w duchu społeczno-chrześcijańskim reformy doktora Kreka mogły stać się konstytutywną częścią słoweńskiej świadomości kolektywnej tylko dlatego, że zostały one dopasowane do powtarzających się wzorców, za pomocą których społeczeństwo słoweńskie przynajmniej od początku XIX wieku przyjmowało i adaptowało nowe idee. Imaginarium ukształtowane przez takie wzorce jest w artykule nazwane „swojskim”, ponieważ opiera się na przednowoczesnym kapitale kulturowym i tradycyjnych strategiach przetrwania. Z zadziwiającą łatwością imaginarium „swojskości”, obserwowane w artykule z punktu widzenia działalności doktora Kreka, odsunęło na bok znaczące postulaty nowoczesności, skupiając się na osiągnięciach techniki, które często służyły do przechowywania konserwatywnych wartości i instytucji. W postaci „swojskiej nowoczesności” imaginarium to, paradoksalnie, umożliwiło stosunkowo bezkonfliktowe przyjęcie socjalizmu po II wojnie światowej.

It is argued that the maximization logic, on which classic economic analysis is based disregards the multidimensionality of human desires. Therefore, the arguments for superiority of inverstor ownership, which are based on the maximization logic, are misplaced. Indeed, promising features can be observed among the existing non-investor owned organizations.

Leopolda Caro, pioniera solidaryzmu chrześcijańskiego w Polsce – które ukazały się w latach 20. XX w. In the next (48th) part of the Cooperative Thought Library we remind of the texts of two outstanding promoters of the Catholic Social Teaching achievements – i.e. doctor Francis Stefczyk, a pioneer of rural and financial cooperatives, and professor Leopold Caro, a pioneer of Christian solidarity in Poland – which were published in the 1920s. Both solidarity and – referring to its ideological foundations ("love thy neighbor as thyself") – the concept of cooperative movement were to constitute the third way of social development, connecting in a way in a higher synthesis the advantages of economic liberalism and some ideas of socialism; take care of the development of private initiative and the interest of individuals, but also take into account the public interest, build the common good. Stefczyk's text reminded here comprises the content of his ideological will, delivered in the form of a read-out entitled "Cooperatives’ stance in agriculture" on June 16, 1924 during the First Agricultural Congress in Warsaw.
