The aim of the paper is to analyze the possibility of imposing sanctions on anticompetitive agreements, when in national law this practice appreciably restricts competition, but in the light of EU law, it is classified as an agreement of minor importance. The paper also shows the criteria useful to determine when the restriction on competition is appreciable.

Albania was one of the last countries in Europe to adopt a free market economy after suffering from one of the worst dictatorial communist regimes in the world. In order to succeed in its efforts to establish a free market economy, Albania needed to undertake a set of reforms to modernize its economy in order to cope with the new reality of global markets and Euro-Atlantic integration. An important aspect of these reforms is also the implementation of a competition law in line with the acquis an its effective implementation. A lot has been achieved in the last ten years but there is a lot to be done still in order to facilitate a competitive economy able to cope with Albania’s EU integration. The work of the ACA is only one aspect of this process, but it is of utmost importance for the development of the national economy and successful EU membership.

En 2009, la Commission européenne a publié un rapport final sur son enquête de marché concernant le secteur pharmaceutique. Le rapport a révélé les préoccupations de la Commission concernant les pratiques de marché des laboratoires pharmaceutiques visant à retarder l’entrée sur le marché de produits pharmaceutiques génériques moins chers. L’une des pratiques retardatrices identifies par la Commission européenne était les règlements de brevet entre un laboratoire et un fabricant de produits génériques, notamment : (i) un transfert de valeur du laboratoire de vers un fabricant de génériques, et (ii) l’obligation pour un fabricant de génériques de ne pas entrer sur le marché. Ces accords de brevet étaient qualifies d’accords de paiement pour retard, puisque le paiement était apparemment effectué en échange de l’obligation de ne pas entrer sur le marché. La Commission européenne a poursuivi l’enquête sur les accords de brevet en exerçant une surveillance continue. Elle a également lancé des procédures antitrust qui se sont terminées par l’imposition d’amendes considérables aux sociétés pharmaceutiques. Les recours sont maintenant en cours devant les tribunaux de l’UE. Dix ans après la publication du rapport final sur l’enquête de marché, cet article vise à résumer l’évolution de la jurisprudence et à fournir une analyse critique. L’article se concentre sur l’analyse des accords de paiement des retards en tant qu’infractions à l’article 101 du TFUE uniquement et ne considère pas la conclusion de ces accords comme un abus de position dominante.

In 2009, the European Commission published a final report on its market inquiry into the pharmaceutical sector. The report revealed the authority’s concerns regarding market practices of pharmaceutical originator companies aimed at delaying the market entry of cheaper generic pharmaceutical products. One of the delaying practices identified by the European Commission were patent settlements between an originator and a generic company including: (i) a value transfer from the originator to a generic company, and (ii) an obligation of a generic company not to enter the market. These patent settlements were called pay-for-delay agreements since the payment was allegedly made in exchange for the non-mark-entry obligation. The European Commission continued the investigation of patent settlements by its continuous monitoring. It also initiated antitrust proceedings that terminated with huge fines imposed on pharmaceutical companies. The appeals are now pending before the EU courts. Ten years after the publication of the final report on the market inquiry, this article aims to summarize the development of the case law and provide its critical analysis. The article focuses on the analysis of pay-for-delay agreements as infringements of Article 101 TFEU only and does not consider the conclusion of these agreements as an abuse of a dominant position.

Artykuł omawia znaczenie pojęć „cel” oraz „skutek” porozumienia ograniczającego konkurencję. Jest także próbą odpowiedzi na pytanie, czy w każdym wypadku dla stwierdzenia bezprawności porozumienia wystarczające jest wykazanie, że miało ono antykonkurencyjny cel lub skutek (alternatywa łączna), czy też bardziej zasadny jest pogląd (bliski autorowi), zgodnie z którym tylko w części wypadków – najcięższych naruszeń prawa konkurencji – możliwe jest odwołanie się do „celu” porozumienia. We wszystkich pozostałych wypadkach na organie ochrony konkurencji spoczywa obowiązek wykazania, że skutkiem porozumienia było lub mogło być ograniczenie konkurencji.

The article’s purpose is to defi ne the terms “object” and “effect” of competition restricting agreements. It also aims to answer the question whether it is always suffi cient for competition authorities to prove either the anticompetitive object or the anticompetitive effect of an agreement. It is suggested therein that focusing solely on the anticompetitive object of an agreement is only appropriate in cases of the so-called hard-core restrictions of competition. It is also argued that competition authorities must prove in all other cases the actual or potential anticompetitive effect on the agreement under consideration.

This article has two objectives. First, it presents the most important developments of Polish antitrust legislation of 2012. These include recent amendments to legal provisions on judicial antitrust proceedings contained in the Code of Civil Procedure, and some novel issues in the area of non-binding guidelines of the Polish NCA, the UOKiK President. Second, the article introduces key developments in Polish competition law jurisprudence of 2012. It characterises selected rulings delivered by the Polish Supreme Court, the Court of Appeals in Warsaw and the Court of Competition and Consumer Protection. Judgments are divided according to their subject matter.

Cet article a deux objectifs. Premièrement, il présente les développements les plus importants de la législation antitrust polonais de 2012. Il s'agit notamment de récentes modifications apportées à des dispositions juridiques en matière de procédure antitrust judiciaires qui se trouve dans le Code de procédure civile, et quelques nouvelles questions dans le domaine des lignes directrices non-contraignantes de l'Autorité natinale du contrôle polonaise, le président de l’Organe pour la protection de la concurrence et des consommateurs (UOKiK). Deuxièmement, l'article présente les développements principaux en matière de jurisprudence de 2012 relative à la loi polonaise de la concurrence. Il caractérise des jugements sélectionnés prononcés par la Cour suprême polonaise, la Cour d'appel de Varsovie et la Cour de la concurrence et de la protection des consommateurs. Les jugements sont présentés selon les sujects qu’ils concernent.

The article presents key developments in Polish antitrust legislation and case law of 2010. Regarding legislation, the article focuses on a new group exemption for agreements on motor vehicle distribution; also provided is a general characterisation of antitrust jurisprudence, mainly the judgments of the Supreme Court and the Court of Appeals in Warsaw. The presented rulings are divided according to their subject matter referring to particular types of restrictive practices, relevant market definition, relationships between the Competition Act and other national legislation as well as problems related to the UOKiK President’s decision-making process and juridical control of antitrust decisions.

L’article présent les développements clés de la loi polonaise d’ententes et la jurisprudence en 2010. Par rapport a la législation, l’article se concentre sur un nouveau règlement d’exemption les d’accords verticaux et de pratiques concertées dans le secteur automobile. L’article présent caractéristiques générales des cas en matière d’ententes, surtout ceux règles par la Cour Suprême et la Cour d’Appel de Varsovie. La description des cas est divisée en parties thématiques concernant les types particuliers des pratiques restreignant la concurrence, identification des marches, relations entre le Droit de la compétition et les autres actes et problèmes relatifs a l’adoption et l’exécution des décisions par le président de l’UOKiK.

Artykuł dotyczy ochrony konkurencji przed nadużyciem pozycji dominującej i porozumieniami ograniczającymi konkurencję na rynku Kosowa w świetle Konstytucji Kosowa oraz ustawy o ochronie konkurencji. Po uchwaleniu ustawy powołano Urząd Ochrony Konkurencji Kosowa jako organ właściwy do spraw ochrony konkurencji. Urząd Ochrony Konkurencji Kosowa jest niezależną instytucją publiczną realizującą kompetencje określone ustawowo i podlegającą Zgromadzeniu Republiki Kosowa. Urząd Ochrony Konkurencji Kosowa ma obowiązek wykonywania przepisów Konstytucji, ustawy o ochronie konkurencji, Statutu Urzędu Ochrony Konkurencji Kosowa, Kodeksu etycznego, wytycznych administracyjnych i rozporządzeń w celu ochrony konkurencji przed nadużyciem pozycji dominującej i porozumieniami ograniczającymi konkurencję. Nadużycie pozycji dominującej i porozumienia ograniczające konkurencję szkodzą uczestnikom rynku i stawiają przedsiębiorstwa w nierównym położeniu na rynku. Wobec tego państwo ma obowiązek zapewnienia oprócz infrastruktury prawnej również informacji i mechanizmów wykonawczych służących do stworzenia prawdziwego i stabilnego rynku. Na prawidłowej i stabilnej konkurencji korzystają wszystkie przedsiębiorstwa działające na rynku, a także konsumenci. Wdrożenie standardów ochrony konkurencji zapewni konkurencyjny i stabilny rynek. W niniejszym artykule podjęto temat rozwiązań prawnych w zakresie ochrony konkurencji przed nadużyciem pozycji dominującej i porozumieniami ograniczającymi konkurencję na rynku w pełnej zgodności z ustawą o ochronie konkurencji w Kosowie i na mocy Traktatu o funkcjonowaniu Unii Europejskiej.

Protection of competition from abuse with dominant positions and anticompetitive agreements in the Kosovo market is governed by the Constitution of Kosovo and the Kosovo Law on Protection of Competition. Following adoption of the law, the Kosovo Competition Authority was established, as a competent institution for protection of competition. The Kosovo Competition Authority is a public, independent institution, to exercise its duties set out in the law, and reports to the Assembly of the Republic of Kosovo. It is an obligation of the Kosovo Competition Authority to enforce the Constitution, Law on Protection of Competition, Charter of the Kosovo Competition Authority, Code of Ethics, Administrative Instructions, and Regulations, in order to protect competition from abuse with dominant positions and anticompetitive agreements. Abuse with dominant positions and anticompetitive agreements are detrimental to market participants and put companies in an unequal position in the market. As a result, in addition to the legal infrastructure, the state has an obligation to build information and enforcement mechanisms in order to create a genuine and stable market. Good and stable competition will benefit all types of companies in the market, as well as all consumers. Implementation of competition standards will enable a competitive and stable market. This paper aims to reflect legislation pertaining to protection of competition from abuse with dominant positions and anticompetitive agreements in the market, in full compliance with the Kosovo Law on Protection of Competition and in virtue of the Treaty on the Functioning of the European Union.

The article presents key developments in Polish antitrust legislation and jurisprudence of 2011. Its legislative part focuses on the renewal of Polish Group Exemption Regulations for vertical agreements, specialization and R&D agreements as well as cooperation agreements in the insurance sector. Noted is also the sole amendment of the Competition Act introduced in 2011 which concerns the financial liability of the Polish competition authority. The article covers also the new Guidelines of the UOKiK President on the criteria and procedures of merger notifications. Presented in its jurisprudential part is a number of 2011 rulings, mainly those rendered by the Supreme Court and the Court of Appeals, divided according to their subject matter with respect to particular types of restrictive practices and other problems related to the decision-making process of the UOKiK President.

Cet article présente les développements principaux relatifs à la législation et jurisprudence antitrust polonaise en 2011. La partie législative de l'article se concentre sur le renouvellement de la réglementation portant sur l'exemption collectif des accords verticaux, ceux relatifs à la spécialisation et R&D, ainsi que les accords de coopération dans le secteur des assurances. De plus, l'article mentionne un seul amendement à la Loi sur la concurrence. Les directives délivrées par le Président du Bureau de la concurrence et protection des consommateurs (UOKiK) en Pologne sur des critères et des procédures relatives à la notification d'une concentration à une autorité nationale de la concurrence sont y également brièvement décrites. Dans la partie sur la jurisprudence, l'article présente les décisions, surtout celles de la Cour suprême et de la Cour d'appel, qui sont divisées selon leur objet en faisant référence à des types particuliers de pratiques restrictives et d'autres problèmes liés au processus de la prise de décision par le Président de l’UOKiK.

Regarding legislation the artice focuses on a new leniency regulation and legal acts amending the Polish Competition and Consumer Protection Act, adopted in 2008, that enetered into force in 2009. The article provides a general characteristics of antitrust cases, mainly ones ruled by the Supreme Court and the Court of Appeal in Warsaw. A description of cases is divided into thematic parts reffering to particular kinds of practices restricting competition, identification of relevant markets, relationships between the Competition Act and other legal acts and problems related to adopting and implementing decisions by the UOKiK President.
