Civil law norms give a considerable space for ethical value judgments. In this respect, the key role is played by the provisions called “general clauses” that refer to extra-juridical value judgments and oblige to take them into account in the process of deciding in civil law cases. The purpose of such clauses is to ensure the necessary flexibility of law and to influence the shaping of proper human relations. In the field of economic activity they are to favour the attitudes of honesty, of mutual trust and of readiness to serve others – the values which constitute a basis for the system of free market competition. A separate question is how to realize these assumptions in the practice of adjudicating which remains the task of courts and tribunals and their case law.

The regulation at the european level is very important for the European Commission and the member states. The Commission has a particularly important role. It has the right to initiate draft directives, which will be codified by the Council and the European Parliament. There are extensive consulting mechanisms that dominate the financial sector, especially from the consumer groups or non-governmental organizations. Also, ECOFIN sessions are very important meetings, as they ultimately decide to adopt directives that can contribute to better reforms of the financial regulation. These reform processes also include the establishment of new directives on financial markets dealing with the elimination of inadequate regulation of credit rating agencies and very low capital requirements. In context of this, the civil society should evaluate where its own resources are to be invested within the European Community. It needs to be constantly monitored and, in particular, mobilized towards solving inefficient and fragmented mechanisms resulting from the financial regulation. The focus on the discovery of lobbies in the financial sector and on specific financial issues can be considered as an inevitable interest of developing countries in order to create more sustainable and equitable financial system at all levels.

Insider Trading Without Trading

EN
Before a person can be prosecuted and convicted for insider trading, he must first execute the overt act of trading. If no sale of security is consummated, no crime is  also consummated. However, through a  complex and  insidious combination of various financial instruments, one can capture the same amount of gains from insider trading without undertaking an actual trade. Since the crime of insider trading involves buying or selling a  security, a  more sophisticated insider can circumvent the language of the Securities Regulation Code by replicating the economic equivalent of a sale without consummating a sale as defined by law. Through the use of financial derivatives in the form of options, swaps, and forwards, an insider who is not a shareholder in a company can obtain economic exposure to changes in the market value or price of shares of stock, without purchasing or obtaining ownership of the shares. The actual stockholder or dealer of security transfers his economic exposure to the insider, but retains all stockholder rights. The insider obtains returns associated with the share of stock by assuming the financial risks inherent in stock ownership, while the person holding the shares of stock is insulated from such risks. This paper demonstrates how constructive trades circumvent the insider trading law by allowing an insider to obtain economic exposure over a share of stock without obtaining or divesting his title over the stock.

The article discusses the relation between law and pedagogy as well as between lawyers (theoreticians and practitioners) and pedagogues (theoreticians and practitioners). The author describes the manifestations of the current legal crisis and indicates how this process affects social life, particularly its pedagogical aspect. In his opinion, law should ensure freedom of pedagogical initiatives instead – as the dominant trend dictates – restrain them. The article is a changed version of a lecture delivered on the occasion of a jubilee of Professor Wiesław Ambrozik, held on 16 November 2017, in Collegium Minus, Adam Mickiewicz University, Poznań.

The Constitution of the Republic of Poland does not define in a comprehensive manner the matter to be standardized in laws and grants the legislator considerable freedom in determining their content. In view of the subject matter of this opinion, based on views founded on the doctrine of Polish constitutional law and on the jurisprudence of the Constitutional Tribunal and the Supreme Court, it can be concluded that the legislator should regulate by law, among other matters, the following matters reserved for statutory regulation (the principle of exclusivity of the act): regulations concerning citizenship and the rights, freedoms and duties of the individual, as well as the basic competences, principles of how public authorities are organised and function. On the basis of this assumption, it was examined whether there is any indication to the legislator from the constitutional norms relevant to the judicial authority. The following were taken into account: the right to a fair trial (Article 45), the principle of the separateness and independence of the judiciary (Article 173), the principle of bi-instantiality of court proceedings and the principle of statutory determination of the system and jurisdiction of courts (Article 176), the principle of the presumption of competence being assigned to common courts (Article 177), and the principle of the non-removability and non-transferability of judges (Article 180). On the basis of an analysis of these constitutional norms, it was concluded that the Constitution of the Republic of Poland enforces statutory regulation of the organisational structure and the material, local and appeal jurisdiction of common courts, and only allows for entrusting specific matters to be regulated by executive bodies by means of a regulation. In the event of any doubts as to whether a given case should be classified into the category of specific matters, the principle of exclusivity of the Act applies.

The present paper has focused on the opportunity of starting and conducting architectural activities as limited liability company, taking into consideration its character. Such type of company is designed to carry out liberal professions. Carrying out a liberal profession (including profession of architect) is related to making mistake “in art”, which results in compensation, which is the obligation of the company. In the company the liability for obligations takes into account the risk of error. The responsibility in the company has been positively regulated. Basic conclusion included in the paper constitutes representation of the company as the most effective form of conducting architectural activities.

The author points out that, in the light of the information contained in the report, negative developments include the fact that a relatively large number of infringement proceedings are initiated and pending against Poland and that Poland has recently lost a relatively large number of cases in the Court of Justice. On the other hand positive aspects include a significant reduction in the number of proceedings for failure to implement directives in a timely manner and the fact that in the reporting period no judgment was issued against Poland for failure to implement the judgment of the Court of Justice.

The subject of the article is to present the theory of Latin civilization by Felix Koneczny. The ancient civilization components such as: Greek philosophy, Roman law, and Christian religion were highlighted. The Model is based on the Latin civilization of Catholic ethics that covers all spheres of social life. The most important foundation of social structure in this civilization is family. The grandeur of this civilization lies in the dominance of the spiritual over the material. It is also important personal nature of civilization. The implementation of the principles of the Catholic Church is the best way to the fullness of human development and society in the state apparatus.

Before I proceed to further detailed and developed arguments, I would like to present the main research problem involving the following question: how did the Border Protection Forces evolve in the years 1945–1965 from the perspective of the legal system and the constitutional law in particular. The constitution referred to above is not the basic law “as such”, in common parlance, but it is the constitution present in the course of the evolution of the legal status of the Frontier Protection Forces. This article is mainly focused on this constitution, although, apart from that, it contains the spectrum of legal and constitutional schemes adopted in different periods of the functioning of the Border Guard Forces in their constitutions. It is therefore immanent to present the process of the functioning of the Border Guard Forces – the origin and evolution of legal norms in the light of the constitution and the whole system of law, as well as the changes taking place in the system of law in the time-space between 1945 and 1965. Taking into account the defined objectives, it turned out to be necessary to present the work from a historical perspective. The chronology of facts is important for the discussed subject matter, as it helps to systematize the deliberations. The structure of the work has been adapted to the above principles of this publication. It begins with a legal-historical part introducing the subject of the tradition of constitutionalism in Poland. It presents the reasons for the creation and the process of subordination of border formations to various institutional solutions, and systematizes the legal and organizational transformation of the Border Protection Forces created in 1945 as a separate type of troops by the Ministry of Public Security and the Ministry of Internal Affairs as part of the People's Army of Poland. The Border Protection Forces repeatedly revised its structural-bureaucratic subordination from the Ministry of National Defence through the Ministry of Public Security to the Ministry of the Interior and vice versa. The general research method became a legal-historical method to reconstruct the past state of affairs, the evolution of the legal status of the Border Protection Forces.

The emergence and development of mediation occurred in different historical periods, in different geographical areas and various categories of social practice. It also used in various forms, which are more or less approaching today's understanding of mediation. Mediation as an approach, the idea of conflict resolution by a third, independent party there for several centuries, as adversarial way. Go for mediation in the history of ideas, is to go back through many centuries, until the beginning of mankind.

This contribution deals with the protection of consumer rights which must be clear and certain. At the same time, it is not possible to protect the important interests of the stability of the financial market and its actors and, at the same time, to protect those who use the services of these actors. After all, the interests of the parties in a contract are not entirely compatible, the client wants to receive the lowest possible price of capital and the borrower the highest possible price. A body that will protect one party will not be independent with regard to the other interest being protected. The idea of all the Financial Ombudsmen created after 2008 is precisely that of protecting one party, the consumer/customer, who, in his or her own way, is the guarantor of the banks' liquidity security. This idea prevails where the consumer of financial services is effectively protected. The Ombudsman is, in a way, a consequence, but also a guarantor of financial stability and the financing system, and not speculation on consumers.

The article presents the stance in adiscussion about the axiological preferences that should be considered by the legislator while enacting the law. In the light of growing importance of law and economics, the author makes an attempt to answer the question about which of the values — economic efficiency or justice — the organs issuing but also using law, should give primacy. The author presents different views on the meanings for justice and economic efficiency. Then shows the most important factors to be considered while enacting the law, so it may be economically efficient. Following this, he contemplates if enactment of law that is only economically efficient is sufficient. In conclusion the author delineates the view that the law may neither be only economically efficient, nor only fair. The legislator has an obligation and apossibility to take under consideration in the legislation the economic and social — including fairness’ — effects of the enacted law.

Introduction. Since January 1, 2012 a patient who suffered so-called medical damage has the right to choose between two alternative routes to compensate for medical damages, i.e. legal or extrajudicial. Aim. To present the consequences of the out-of-court compensation for medical damages for patients on the basis of existing legal acts and the literature. Materials and methods. The analysis of legal acts and literature regarding extrajudicial compensation. Conclusions. The provisions regulating the out-of-court medical compensation for patients are inconsistent and unclear. As a result of the application of the regulations in force by Provincial Commission for Adjudication of Medical Events, there are difficulties for the injured patients to receive compensation or redress. The analysis of legal acts and literature shows that only court proceedings are the most effective way to assert their rights for patients who have suffered so-called medical damage.
